Array Technology definition

Array Technology means the Array Know-How and Array Patents.
Array Technology means, other than Licensed Technology, all technology including, but not limited to, trade secrets, know-how, inventions and information (including test data, protocols and screening methodology), and materials, whether patentable or not, directed to products, processes, intermediates and reagents which are owned or Controlled by Array and which are necessary or useful in the preparation of Active Compounds. For the avoidance of doubt, it is intended that Array Technology shall exclude Amgen Technology, Collaboration Technology and Joint Technology.
Array Technology means Array Patents and Array Know-How, in each case that are (i) Controlled by Array or Controlled by an Array Affiliate that is controlled by Array (where “control” is as defined in the definition of Affiliate in this Agreement) and are reasonably necessary or useful for the Parties to conduct their respective activities under the Discovery Program and for Loxo to develop, make, have made, use, import, offer to sell and sell Active Compounds and Products in the Field; and (ii) Controlled by Array or Controlled by an Array Affiliate that is controlled by Array (where “control” is as defined in the definition of Affiliate in this Agreement) and are necessary for Loxo to develop, make, have made, use, import, offer to sell and sell Active Compounds and Products in the Field. For clarity, Array Technology described in subparagraph (ii) of this Section 1.3 shall not include Collaboration Technology.

More Definitions of Array Technology

Array Technology means certain know-how, intellectual property or patents (i) developed, licensed and/or owned by Array, prior to the Effective Date or (ii) developed licensed and/or owned by Array outside of the Optimization Program and used by Array in the Optimization Program, or (iii) developed during the Optimization Program and not having solely specific or novel application to the Optimization Program (i.e. such know-how, intellectual property, or patents having application outside of the development, manufacture, use, sale, or importation of Optimization Compounds or Products). Array Technology shall not include Daughter Libraries or Optimization Compounds.
Array Technology means Array inventions (whether or not patentable) and Array know-how. Array Technology expressly excludes all Project Rights regardless of Array's contribution to such Rights and, for purposes of this Agreement, also expressly excludes Array Processes.
Array Technology means (i) all information, data, know-how, patents and patent applications that are necessary to conduct the Research Program, and (ii) any divisions, continuations, continuations-in-part, reissues, reexaminations, or extensions, thereof and any substitutions, confirmations or registrations of any of the foregoing, in each case, which is owned or Controlled by Array.

Array Technology means Array Patents and Array Know-How and other Intellectual Property relating thereto, in each case that (i) are Controlled by Array as of the Effective Date and are reasonably necessary for the Parties to conduct their respective activities under the Development Program and to further develop, make, have made, use, import, offer for sale and sell Products in the Field and in the Territory, and/or (ii) are Controlled by Array during the term of this Agreement and claim the composition or method of use of ARRY-543.
Array Technology means patents or other rights to compositions, methodologies, and processes for the high speed synthesis of chemical entities owned by Array. Array Technology shall not include Compounds, IDAS Focus Libraries or Drug Development Candidates.
