Amounts left in the XXX after that date will be subject to the same penalties discussed in Section VII below applicable to excess SEP contributions.

More Definitions of Amounts

Amounts in the Collateral Fund shall continue to be the property of the Purchaser, subject to the first priority security interest granted hereunder for the benefit of the Certificateholders, until withdrawn from the Collateral Fund pursuant to Section 2.02 or 2.03 hereof. Upon the termination of this Agreement and the liquidation of all Loans as to which the Purchaser has made any Election to Delay Foreclosure or any Election to Foreclose pursuant to Section 2.04 hereof, the Depositor shall distribute to the Purchaser all amounts remaining in the Collateral Fund together with any investment earnings thereon. In no event shall the Purchaser (i) take or cause the Trustee or the Depositor to take any action that could cause any REMIC established under the Trust Agreement to fail to qualify as a REMIC or cause the imposition on any such REMIC of any "prohibited transaction" or "prohibited contribution" taxes or (ii) cause the Trustee or the Depositor to fail to take any action necessary to maintain the status of any such REMIC as a REMIC.

Amounts deposited into the Collateral Account as cover for liabilities in respect of Letters of Credit under any provision of this Agreement requiring such cover shall be held by the Administrative Agent in a separate sub-account designated as the "LC Sub-Account" (the "LC Sub-Account") and, subject to Section 2.18(i), all amounts held in the LC Sub-Account shall constitute collateral security first for the liabilities in respect of Letters of Credit outstanding from time to time and second for the other Obligations hereunder (x) until such time as all Letters of Credit shall have been terminated and all of the liabilities in respect of Letters of Credit have been paid in full or (y) as otherwise provided in Section 2.18(i).
