Amendment Proposal definition

Amendment Proposal has the meaning specified in Section 8.02(c).
Amendment Proposal means the proposal to amend the Company's Amended and Restated Certificate of Incorporation as contemplated in Section 3.3 of the Merger Agreement.
Amendment Proposal shall have the meaning set forth in Section 6.09.

  • Notwithstanding the foregoing, the Investor shall comply with the transfer restrictions set forth in the Charter Amendment Proposal (as defined in the Investment Agreement) as if the Charter Amendment Proposal had been approved and effective as of the Closing Date (as defined in the Investment Agreement) until such time as the Charter Amendment Proposal actually is approved and effective.

Code Modification shall mean a modification to, or a proposal to modify the Network Code. Competent Authority means any local, national or supra-national agency, authority, department, inspectorate, minister, official, court, tribunal or public or statutory person (whether autonomous or not) of the United Kingdom, the Republic of Ireland or the Isle of Man or the European Union which has jurisdiction over NGG or GNI (UK) or PTL or the subject matter of this Agreement (including, without limitation, Ofgem, NIAUR and the CER).
Amendment Proposal means any proposal presented to the shareholders of the Company for the purpose of approving an amendment to the Company’s Amended and Restated Articles of Incorporation to increase the number of authorized shares of Common Stock to 350,000,000 in the event a reverse stock split of the Company’s Common Stock is effectuated prior to shareholders’ approval of the Reverse Split Proposal.
Amendment Proposal is defined in Section 5.15(a).
