ADS definition

ADS means an American Depositary Share representing Class A Ordinary Shares;
ADS means one American Depositary Share issued pursuant to the Deposit Agreement (with each such share representing, as of the Issue Date, one (1) Ordinary Share deposited with the ADS Custodian under the Deposit Agreement), subject to Section 5.09.
ADS means an American Depositary Share, issued pursuant to the Deposit Agreement, representing seven Class A Ordinary Shares of the Company as of the date of this Indenture, and deposited with the ADS Custodian.

  • ADS fees and charges in respect of distributions and the ADS service fee are payable by Holders as of the applicable ADS Record Date established by the Depositary.

  • ADS fees and charges for (i) the issuance of ADSs and (ii) the cancellation of ADSs will be payable by the person for whom the ADSs are so issued by the Depositary (in the case of ADS issuances) and by the person for whom ADSs are being cancelled (in the case of ADS cancellations).

  • In no event shall any amendment or supplement impair the right of the Holder to surrender such ADS and receive therefor the Deposited Securities represented thereby, except in order to comply with mandatory provisions of applicable law.
