Additional Technology definition

Additional Technology shall have the meaning set forth in Section 4.1(c).
Additional Technology has the meaning set forth in Section 2.3.
Additional Technology means and include the MCAP Protocol and all other data, information, software, or other technology as specified in Attachment A hereto, and all Improvements thereto developed by Mpath during the term of this Agreement, as well as all related Technical Documents.

Examples of Additional Technology in a sentence

  • The aggregate purchase price for the Purchased Assets shall be equal to (i) the issuance to Seller of Five Million (5,000,000) shares of Parent’s Series A-2 Preferred Stock (the “Issued Shares”), (ii) the Deferred Cash Consideration, and (iii) the Additional Technology Consideration, subject to adjustment pursuant to Section 2.06 hereof (the “Purchase Price”), plus the assumption of the Assumed Liabilities.

  • S▇▇▇▇▇ agrees and acknowledges that any Additional Technology Consideration earned, if any, shall be considered part of the Purchase Price.

  • If Buyer chooses to sell, license, or monetize any Additional Technology, any costs, including but not limited to filing and legal costs and fees, for maintaining the Additional Technology shall be deducted from the gross revenues received in such sale, license, or monetization prior to dividing the net proceeds pursuant to this Section 2.06(b).

  • Notwithstanding anything herein to the contrary, S▇▇▇▇▇ agrees and acknowledges that nothing in this Agreement requires Buyer or any of its Affiliates to make any effort to maintain, sell, license, or monetize the Additional Technology.


More Definitions of Additional Technology

Additional Technology means the [***] (as defined in the [***]) and the [***].
Additional Technology shall have the meaning set forth in Section 7.14.
Additional Technology means and include the MCAP Protocol and all other data, information, software, or other technology of Mpath and Catapult as specified in Attachment A hereto, and all Improvements thereto developed by Mpath or Catapult during the term of this Agreement, as well as all related Technical Documents.
Additional Technology means inventions, discoveries, information, and know-how in the FIELD OF USE which may be developed under the Sponsored Research Agreement.
Additional Technology means those Information and inventions that are Controlled by a Party that are necessary or reasonably useful to research and develop Antibodies and Antibody Equivalents that bind to and are directed against an Antigen and are in addition to the XenoMouse Technology and the Antibody Technology; provided, however, that Additional Technology shall exclude Antibody Technology, Antigen-Specific Technology, Collaboration Technology, Oncology Technology, Other Technology, Development Program Technology, Additional Development Program Technology, Process Technology and XenoMouse Technology.
Additional Technology means (a) all Additional Know-How, and (b) any Patent Right that claims Additional Know-How.
