Throughout the currency of this Agreement the Company shall at all times keep and maintain in good repair and working order and condition (which obligation includes, where necessary, replacing or renewing all parts which are worn out or in need of replacement or renewal due to their age or condition) the Railway, Additional Infrastructure (if any), access roads, and all such other works, installations, plant, machinery and equipment for the time being the subject of this Agreement.
Throughout the continuance of this Agreement the Company shall at all times keep and maintain in good repair and working order and condition (which obligation includes, where necessary, replacing or renewing all parts which are worn out or in need of replacement or renewal due to their age or condition) the Railway, Additional Infrastructure (if any), and the Port Facilities and all such other works installations plant machinery and equipment for the time being the subject of this Agreement.
Obliges the Company to keep the Railway and Additional Infrastructure in an operable state, to ensure that the Railway and Additional Infrastructure is operated in a safe and proper manner in compliance with all applicable laws.
In proximity to the date of signing of the EMG Transaction, Noble and the Partnership signed a non-binding LOI with the Tamar partners and a non- binding LOI with the Leviathan partners in connection with allocation of the capacity, and further arrangements, in connection with the transport of natural gas in the EMG Pipeline and the Additional Infrastructure (as defined above).
It is emphasized that the binding agreements with the Tamar partners and the Leviathan partners, if signed, are expected to include specific arrangements regarding regulation of the usage of the EMG Pipeline and the Additional Infrastructure, including arrangements with respect to the allocation of the capacity in various cases, investments in the Additional Infrastructure and further arrangements.
