The Officer’s Certificate must also set forth any other information reasonably necessary to enable the Paying Agent or the Conversion Agent, as the case may be, to pay Additional Amounts to Holder on the relevant payment date.
For the avoidance of doubt, no Additional Amounts will be payable in the case of withholding or deduction that is imposed in connection with payments of cash upon conversion of the Notes or deliveries of Ordinary Shares, together with payments of cash in lieu of any fractional Ordinary Share (other than any de minimis amount of withholding or deduction in the nature of the costs of issuance of Ordinary Shares) upon conversion of the Notes.
