Upon the consummation of the Acquisition, SRXH will acquire good and marketable title to the Acquired Securities acquired by SRXH from such Transferor, free and clear of all Encumbrances.
The Acquisition Consideration delivered upon the surrender for exchange of Acquired Securities and assignment of the Acquired IP Assets in accordance with the terms of this Agreement will be deemed to have been issued in full satisfaction of all rights pertaining to such shares and assets.
The Acquired Securities Issuers and Transferors will keep SRXH informed, on a prompt basis, in all material respects with respect to the status of any such Asset Acquisition Proposal, EMJC Acquisition Proposal or DelawareCo Acquisition Proposal, inquiry or indication of interest and any modification or proposed modification thereto.
Additionally, the Acquired Securities Issuers will obtain run-off “tail” endorsements to its current directors’ and officers’ insurance policies (or runoff or “tail” policies of at least the same coverage containing terms and conditions no less advantageous to the current and all former directors and officers of each Acquired Securities Issuer) with respect to acts or failures to act prior to the Closing.
Notwithstanding the foregoing, the Acquired Securities Issuers shall not be required to pay or reimburse SRXH for more than $250,000.00 for any D&O Tail referred to in this Section 7.4(b).
