WHEREAS, the Fund has obtained an order from the Securities and Exchange Commission (hereinafter the "SEC"'), dated March 5, 1999 (File No. IC-23728), granting Participating Insurance Companies and variable annuity and variable life insurance separate accounts exemptions from the provisions of sections 9(at. 13(a), I S(a), and 15(b) of the Investment Company Act of 1940, as amended, (hereinafter the "1940 Act") and Rule 6e- 2(b)(l5) and 6e-3(T)(b)(15) thereunder, to the extent necessary to permit shares of the Fund t" be sold to and held by variable annuity and variable life insurance separate accounts of life insurance companies that may or may not be affiliated with one another and qualified pension and retirement plans ("Qualified Plans") (hereinafter the "Mixed and Shared Funding Exemptive Order"); and

SHAREHOLDER INFORMATION AGREEMENT entered into as of April 16, 2007 by and between T. Rowe Price Services, Inc. ("Services"), T. Rowe Price Investment Services, Inc. ("Investment Services") (collectively the "Fund") and The Prudential Insurance Company of America, Pruco Life Insurance Company, and Pruco Life Insurance Company of New Jersey (the "Intermediary"), with an effective date of October 16, 2007. Prior to the effective date of this Shareholder Information Agreement, the Fund and the Intermediary agree that any request made to the Intermediary by the Fund for shareholder transaction information, and the Intermediary's response to such request, shall be governed by whatever practices the Fund and the Intermediary had utilized in the absence of a formal agreement, if any, to govern such requests.

But if any such earlier contract was reinstated after that date but before the date of this contract, for each reinstatement we will have the right to use as a basis for a contest of this contract the statements that were made to us at the time. The period during which we will have that right will be the period we state under Incontestability in this contract; it will start on the date of the reinstatement.

Amendment #12 to the AUTOMATIC

The purpose of this amendment is to recapture a portion of the business covered under the Agreement. The portion being recaptured will be equal to 63% of the first $1 million, and 70% of any amounts in excess of $1 million for each MyLegacy, PruLife Universal (UL), PruLife Universal Plus, and PruLife SUL Plus policy with an effective date prior to January 1, 2011. As a result of this partial recapture, there is a settlement between THE COMPANY and THE REINSURER as described in #3 below. THE COMPANY and THE REINSURER have by their respective officers agreed to amend the above referenced agreement as set forth below with the amendment having the effective date of July 1, 2011.
