Workforce Protection Sample Clauses

Workforce Protection. The Optionee understands that the Company has an important business interest in preserving and retaining its relationships with its employees and its Affiliates’ employees (collectively, the “Covered Employees”). In consideration of Optionee’s employment with the Company and/or this agreement, during the term of Optionee’s employment and for one year thereafter, the Optionee promises that Optionee will not directly or indirectly or in cooperation with others: (i) Seek, encourage, solicit, or attempt to solicit any Covered Employee to leave his or her employment for any reason or in any way interfere with his or her employment relationship; (ii) Induce or attempt to induce any Covered Employee to accept employment with, work for, render services or provide advice to or supply confidential business information or trade secrets of the Company or its Affiliates to any other person; or (iii) Employ, or otherwise pay for services rendered by, any Covered Employee in any other business enterprise. As part of the Optionee’s obligations to the Company and without limiting the foregoing, Optionee specifically agrees that for the one year period after Optionee’s employment with the Company terminates, Optionee will not interview, recommend for hire, identify or provide any input to any third party in which Optionee has an interest as an employee, officer, consultant, director or owner about any Covered Employee where the purpose or outcome of such action by Optionee is to recruit, provide a reference or otherwise assist a Covered Employee to leave his or her employment and join the third party in which the Optionee has an interest as described herein. The Optionee also acknowledges that Optionee’s promises as contained herein are not excused in circumstances where the Covered Employee initiates a discussion of this nature with Optionee. In that event, Optionee agrees to advise the Covered Employee of Optionee’s obligations hereunder. The Optionee further agrees that during the one year period after the Optionee leaves the Company, Optionee will inform any new employer Optionee may have of Optionee’s obligations under this Agreement.
Workforce Protection. Without the prior written consent of CMO, School shall not allow any current or former employee of CMO to perform services at or for the School for a period of (I) one (1) year from the termination of that employee’s employment relationship with CMO, or (II) one year from the expiration of the school year (June 30) in which the employee worked for any period of time at the School, whichever is longer.
Workforce Protection. Because I recognize that solicitation of the Company and its Affiliates' employees, consultants and contractors will interfere with, impair, disrupt or damage the Company's business, I agree that during the Restricted Period, I will not, directly or indirectly, separately, or in association with others, solicit, hire, attempt to hire, or cause others to do so, or persuade or attempt to persuade any employee of the Company or its Affiliates to leave the employ of the Company or its Affiliates or to become employed by anyone other than the Company or its Affiliates. In addition to other remedies, including equitable remedies, that a court may impose, I acknowledge and agree that if I breach this provision of the Agreement, the Company will have to expend time, money and other resources to replace the employee(s) I have solicited. Therefore, because it is difficult, if not impossible, to adequately measure damages, for each employee I have solicited, I agree that, in the event I breach this provision, I will pay the Company six (6) months' worth of the new total compensation of the employee, or six (6) months' worth of the total compensation of the employee when such employee left the Company, whichever is higher.
Workforce Protection. Because I recognize that solicitation of the Company's employees, consultants and contractors will interfere with, impair, disrupt or damage the Company's business, I agree that during my employment and for a period of one (1) year after the termination of my employment, regardless of the reason for such termination, I will not, directly or indirectly, separately, or in association with others, solicit any of the Company's employees, or cause others to do so, or persuade or attempt to persuade any employee of the Company to leave the employ of the Company or to become employed by anyone other than the Company.
Workforce Protection. Employee will not, during the term of his/her employment, and for a period of three (3) years following the termination of said employment, regardless for the reason for termination of Employee’s employment, directly or indirectly hire any of Employer’s employees, or solicit any of Employer’s employees for the purpose of hiring them or inducing them to leave their employment with Employer, nor will Employee own, manage, operate, join, control, consult, consult with, participate in the ownership, management, operation or control of, be employed by, or be connected in any manner with any person or entity which engages in the conduct proscribed by this paragraph during the term of Employee’s employment and for a period of three (3) years following the termination of said employment.
Workforce Protection. Employee will not, during the fifteen (15) month period commencing on the date of his cessation of employment with the Company, directly or indirectly hire any of the Chart Group's employees, or solicit any of the Chart Group's employees for the purpose of hiring them or inducing them to leave their employment with the Chart Group, nor will Employee own, manage, operate, join, control, consult with, participate in the ownership, management, operation or control of, be employed by, or be connected in any manner with any person or entity which engages in the conduct proscribed by this paragraph during such fifteen (15) month period.
Workforce Protection that during the Restricted Period, I will not, directly or indirectly, separately, or in association with others, solicit, hire, attempt to hire, or cause others to do so, or persuade or attempt to persuade any employee of the Company or its Affiliates to leave the employ of the Company or its Affiliates or to become employed by anyone other than the Company or its Affiliates. In addition to other remedies, including equitable remedies, that a court may impose, I acknowledge and agree that if I breach this provision of the Agreement, the Company will have to expend time, money and other resources to replace the employee(s) I have solicited. Therefore, because it is difficult, if not impossible, to adequately measure damages, for each employee I have solicited, I agree that, in the event I breach this provision, I will pay the Company six (6) total compensation of the employee when such employee left the Company, whichever is higher.
Workforce Protection. During the term of the Agreement and for the following 2 (two) year period, the Customer may not request any EPS-Connect employee, directly or indirectly, to enter into an employment or consulting relationship with the Client or to terminate such employment with EPS-Connect. Nothing in this section shall be construed as prohibiting Customer from employing any person applying for a general job offer or applying for employment in response to a general announcement of a job opening.

Workforce Protection. Employee covenants and agrees that during his employment with the Company and for a period of one (1) year after the employment relationship ends (whether it ends voluntarily or involuntarily, with or without cause), Employee will not, directly or indirectly, solicit any of the Company’s employees for the purpose of hiring them or inducing them to leave their employment.
