Withholds Clause Samples
A Withholds clause allows one party to temporarily retain payments or benefits that would otherwise be due to the other party under certain conditions. Typically, this clause is triggered if the receiving party fails to meet specific obligations, such as delivering goods, completing services, or providing required documentation. By enabling the withholding of payments, the clause incentivizes compliance and protects the withholding party from potential losses or breaches.
Withholds. If and to the extent that Medicare or any other payor withholds funds from Buyer due to claims which are attributable to Seller for any period prior to the Closing Date, or Buyer is required to refund any payments because of claims which are attributable to Seller for any period prior to the Closing Date and which payment Buyer did not receive and retain after the Closing Date, Buyer shall notify Seller of any deficient payment and provide any supporting information as requested by Seller. Seller shall, within ten (10) Business Days, reimburse Buyer for any uncontested deficient payment or refund payment made by Buyer and take any such action as may be required to satisfy Medicare or any other payor with respect to that matter. In the event that Seller is successful in appealing any adverse decisions by Medicare or any other payor that caused the payments contemplated by this Section, Buyer shall, within ten

RCDSCC may withhold (in excess of retention) payments to the extent necessary to protect RCDSCC from loss on account of defective work not remedied; claims filed or reasonable evidence indicating probable filing of claims; failure of the Contractor or subcontractors to make payments properly for material, equipment, or labor; damage to another Contractor or other property; the filing of liens or stop notices; delays in progress toward completion of the work, with the stipulated amount of liquidated damages being withheld for each day of delay for which no extension is granted. When the grounds for withholding the funds are removed or corrected by Contractor, payment shall be released to Contractor.
Withholds. Provider agrees to: Provider may be assessed operational and/or staffing withholds at DDOC’s discretion as described below. Withholds will not begin until after the expiration of the Start-Up Period.

To encourage performance improvement on priority areas established by the Department and in accordance with the Department’s Quality Strategy, the PHP shall participate in the Department’s withhold program, as described in this Section and detailed in the North Carolina Medicaid Withhold Program Guidance. Nothing in this Section applies to HOP Withholds. HOP Withholds are governed by Section V.D.4.

Provider agrees to fully cooperate with Horizon in complying with any request by a Governmental Authority to recover amounts from Provider, which may include withholding all or part of any payments otherwise due to Provider. The terms of this paragraph shall survive any termination or expiration of this Agreement.
Withholds. In the event of a termination for default, the State may withhold from any amounts due the Contractor for such Deliverables or Services such sum as the State determines to be necessary to protect the State against loss or liability. The State will make a reasonable effort to mitigate damages sustained.
