Wastage. 1. Wastage occurs when a specific vial size of a Product is not delivered by Supplier as provided for in the applicable Rolling Forecast, and the CBS inventory of that vial size falls below five (5) weeks’ coverage, resulting in CBS customer orders for that vial size being filled with the next available larger vial size (“Substitution”).
Wastage. LTS agrees to minimize the wastage of the Active Ingredient involved in the production of Patch hereunder and to maximize Patch yields, and will regularly report to and consult with NeurogesX regarding its Active Ingredient / Patch yields, and its efforts to improve such yields. Wastage. Tenant shall not waste electricity, water, air conditioning or other utilities or supplies furnished to the Premises, and Tenant agrees to cooperate fully with Landlord to assure the most effective operation of the Project’s heating, air conditioning and other utility distribution systems, and to comply with any governmental energy-saving rules, laws or regulations of which Tenant has actual notice. Tenant shall refrain from attempting to adjust controls other than room thermostats installed in the Premises and intended for Tenant’s use. Tenant shall keep corridor doors closed, and shall close window coverings at the end of each business day. Heat and air conditioning shall be provided during ordinary business hours of generally recognized business days, but not less than the hours of 8:00 a.m. to 6:00 p.m. on Monday through Friday (excluding in any event weekends and holidays, it being understood that holidays shall mean and refer to those holidays of which Landlord provides Tenant with reasonable prior written notice which shall in any event include, without limitation, state and federal holidays and those holidays on which the New York Stock Exchange is closed).

Wastage. ARx shall store and handle all API so as to minimize wastage, shrinkage or deterioration, provided that ARx will be entitled to a mutually agreeable allowance for inventory loss and yield loss. Such allowance will be based on manufacturing process capability and will be determined by the Parties after the production of three full scale batches of the applicable Product and will apply to all API supplied by Cynapsus, inclusive of API consumed during Product sampling and testing. In determining ARx’s compliance with the yield allowance, ARx shall be credited with all Product manufactured by ARx which is in saleable condition, excluding amounts used for samples and analytical testing. In the event of any loss or waste of API in excess of the applicable yield allowance by ARx, calculated on a yearly basis, or if there is any loss of API in relation to any batch of Product that does not comply with the provisions of this Agreement, calculated on a yearly basis, ARx shall credit Cynapsus with [*****]% of the cost of the API so lost, and Cynapsus shall be entitled to set off such credited amounts against amounts due to ARx hereunder.

Eskom rules and regulations relating to residential supply, connections and charges shall apply to all homes. Eskom has confirmed that a maximum demand of 200KVA has been noted by them for the use of the 40 Stands / Units on Kareefontein. It is specifically recorded that Eskom is experiencing electricity generation, transmission and distribution constraints and also stability constraints of its interconnected power system. It is noted that capacity is going to be severely constrained for the next 7 to 10 years and that electricity must be used as efficiently as possible. This is a National problem and is not specific to the Kareefontein development. Owners will be required by Eskom to use energy efficient technologies and equipment in accordance with good practice. Eskom reserves the right to audit the manner in which electricity is used to ensure compliance with general principles of energy efficiency. In connection with the annual review of the Supply Price pursuant to Section 3.2, the target API Waste Ratio shall be reviewed and, if appropriate, adjusted in a manner mutually agreed to by the Parties, provided that the target API Waste Ratio shall only be adjusted if greater than [**] Batches have been produced. LTS shall use Commercially Reasonable Efforts to minimize the wastage of API. Notwithstanding the foregoing, if the Batch size shall change, then a new target API Waste Ratio will need to be agreed to by the parties and no amounts will be due under this provision until such new API Waste Ratio is agreed upon.
