Vacation Packages. You can redeem Points for select vacation packages. You can search for vacation packages you want to book at the Travel Rewards section on rewards.vancity. com. If you do not have enough Points to purchase the entire vacation package, you may purchase the vacation package in full with your Visa Card or you may redeem for a portion of the cost with Points (a minimum redemption amount will apply) and pay the balance with your Visa Card. You can redeem your Points for vacation packages by calling us at 0-000-000-0000. Vacation packages redemption support is available from 5 am to 3 pm Pacific Time, Monday through Friday excluding major holidays. All vacation packages must be booked a minimum of 30 days prior to travel date or you may incur additional fees. All travellers must meet the eligibility requirements established by the travel provider. Cancellations may include penalties and a cancellation service fee will apply. Refunds for cancellations may take up to 3 to 4 weeks for Points to post to your Vancity Visa Account. No interim price reductions will be considered or offered once the booking has been completed. After booking, any additional special handling may result in the imposition of additional fees. Vacation package components are subject to change without notice. The traveller is responsible for obtaining the appropriate international travel documentation, such as passports and visas. AOL shall provide Preview the following ----------------- promotional placements with respect to Vacation Packages (to the extent Preview offers such packages): (a) on the front screen of the AOL "Vacations Area", the top third-party promotional button (currently anticipated to appear on the right side of such screen), (b) the second from the top third- party programming button (currently anticipated to appear on the left side of the screen) and (c) in instances in both the Vacations Area and the vacations database that may be created by AOL in which AOL Users are allowed to search for Vacation Packages in a particular category or subcategory (e.g., adventure), the first 2 search results will list packages offered by Preview in such category (if Preview offers packages in such category) (and no results will list packages offered by a Preview Competitor).

Vacation Packages. The parties agree that Stratosphere may enter into an agreement with Bob Xxxxxx xxxsistent in all material respects with the draft agreement dated December 26, 1996 (the "Stupak Agreement"), which has been delivered by Stratosphere to the Noteholders and Grand. The final version of the Stupak Agreement and related documents shall be in form and content reasonably acceptable to the Noteholders. Grand shall advance funds to Stratosphere, not to exceed $6,890,000, to permit the subscription for Stupak's pro rata share of the Rights Offering as provided in Section 6 of the Stupak Agreement, but only to the extent that Stratosphere does not have sufficient available cash or cash equivalents to make such advance as provided therein. To the extent that Grand advances funds pursuant to such standby funding commitment, Stratosphere shall issue to Grand Restated Notes in the face amount of such advance, as provided in Section 4.2 hereof, from the additional $25,000,000 in Restated Notes authorized to be issued following the Closing Date. The Plan shall provide for assumption of the Stupak Agreement and treatment of the above-described Grand standby funding commitment consistent with the terms of this Section 9.7. Upon confirmation of the Plan, Stratosphere shall fully reserve the estimated future costs of servicing the designated vacation packages as provided in the Stupak Agreement in accordance with GAAP.

Traveler must meet the eligibility requirements established by the travel provider. Travel packages may only be booked through the Service Center. Travel packages may not be combined with upgrade certificates, frequent traveler promotions or other reward programs, promotional or discount certificates, vouchers, Internet fares, companion fares, group travel, convention fares or special rate programs. Travel packages that have been booked may not be cancelled and are not eligible for any refund in part or whole. No interim price reductions will be considered or offered once the booking has been completed. After booking, any additional special handling may result in the imposition of additional fees. Bookings made less than 30 days prior to a travel date will result in the imposition of a special handling fee per traveler in addition to other fees imposed by the travel provider. Vacation packages do not include airfare unless specifically stated as part of the package. All reservations are subject to the conditions of carriage, supply or business of the service provider, which include exclusions and limitations of liability. Proper travel documentation is required throughout the tour. Even though a traveler has completed registration, it is still the responsibility of the traveler to present the required travel documentations at the time of departure. The traveler is responsible for informing itself of the requirements for and obtaining the appropriate international travel documentation, such as passports and visas. The Service Center assumes no responsibility for advising guests of proper travel documentation. Neither SDCCU nor TSYS LOYALTY is responsible for the performance of the tour operator or any service vendor. SDCCU is not liable for any loss or penalties incurred by Cardholder when a hotel, tour operator or cruise line is sold, ceases to exist or becomes inoperative if a tour operator cancels a vacation package for acts of nature. Vacation package components are subject to change without notice. SDCCU is not liable for amenities, services and/or facilities not being available due to seasonal closings, renovations, strikes, bankruptcy and/or acts of nature.

EXHIBIT C I. ONLINE AREA AOL TERMS OF SERVICE; UNSPECIFIED CONTENT. AOL shall have the right to remove, or direct ICP to remove any Content from the Online Area which, as reasonably determined by AOL: (i) violates AOL's then-standard Terms of Service (as set forth on the America Online(R) brand service), the terms of this Agreement or any other standard, written AOL policy; or (ii) is not specifically described on Exhibit A. To the extent ICP wishes to implement any rules of conduct or terms of service related to the Online Area which are separate from or supplementary to AOL's Terms of Service, ICP must obtain the prior written approval of the AOL Legal Department.
Vacation Packages. 8.1 All package products, Tours, Hotels, Cars, Insurance and Ancillary services are excluded from this Agreement.
