Transferable Permits. “Transferable Permits” means all those permits relating to the Facilities or the Facilities Switchyard (and all applications pertaining thereto) which are transferable under applicable law from Seller to Purchaser with or without a filing with, notice to, or consent or approval of any Governmental Authority.

Transferable Permits. All Licenses and Environmental Permits owned or held by Seller and used or held for use in connection with the operation of the Colstrip Facilities that are transferable by Seller to Purchaser as listed in Section 1.01(a)(vi) of the Disclosure Schedule, and the water rights owned or held by Seller, whether or not such rights are created or evidenced by a License, and used or held for use in connection with the operation of the Colstrip Facilities including those listed in Section 1.01(a)(vi) of the Disclosure Schedule (the "Transferable Permits");

Transferable Permits. Each governmental license, franchise, permit or other similar authorization, required in Sellers' Business or relating to the Sellers' Assets, together with the name of the governmental agency or entity issuing such license or permit (collectively the "Permits") are accurately described in Disclosure Schedule, Section 3.1.18. Except as noted in the Disclosure Schedule, Section 3.1.18, such Permits are in full force and effect and are transferable by Sellers to Wellstar as contemplated herein. Transferable Permits. Set forth on Schedule 5.16 is a true and complete list of (a) all Transferable Permits; (b) all pending applications for Permits that would be Transferable Permits, if issued or granted; and (c) all pending applications for modification, extension, or renewal of Transferable Permits. The Transferable Permits are all of the Permits required to be issued to conduct the Business as currently conducted and the Transferable Permits are validly issued and in full force and effect, except where the failure to possess any such Permit or the failure of any such Permit to be in full force and effect could not reasonably be expected to have a Material Adverse Effect. Except as set forth on Schedule 5.16, the Seller is in compliance with (i) its obligations under each of the Transferable Permits owned, held or possessed by it; and (ii) the rules and regulations of the Governmental Entity issuing such Transferable Permit, except in each case where the failure to so comply could not reasonably be expected to have a Material Adverse Effect. Except as set forth on Schedule 5.16, there is not pending or, to Seller's Knowledge, threatened before any Governmental Entity any proceeding, notice of violation, order of forfeiture or complaint, or investigation against the Seller relating to any of the Transferable Permits that could reasonably be expected to have a Material Adverse Effect.
