Training and Technology Transfer. The Consultant may be required to provide formal and informal training as part of technology transfer to Department staff in the areas of performance evaluation and condition assessment of pavement systems as well as operation of certain test equipment and data acquisition systems, certain desktop and mainframe data processing methods, software and applications as directed by the Department.

Training and Technology Transfer. (a) PanAfrican Tanzania shall conduct its business in ways that will maximize, to the greatest reasonable degree, training and technology transfer opportunities for Tanzanian nationals at all levels of such business, including management. Without limiting the generality of the foregoing, PanAfrican Tanzania shall include manpower development programmes and employee training programmes, as necessary in its normal conduct of business, which programmes from time to time shall include training for its Tanzanian employees in the technical skills used in the Petroleum Operations conducted pursuant to this Agreement and training in management for those Tanzanian employees qualified for management training. (b) During each year from the Financial Closing, PanAfrican Tanzania shall spend a minimum of US$75,000 for the following purposes: (i) to provide a mutually agreed number of GOT and TPDC personnel with on-the-job training in PanAfrican Tanzania’s operations in Tanzania and overseas, and/or practical training at institutions abroad, particularly in the areas of logistical planning for undertaking Petroleum Operations, economic analysis, petroleum accounting and contract administration; (ii) to send suitable Tanzanian personnel selected by the GOT and by TPDC to courses at universities, colleges or other training institutions mutually selected by PanAfrican Tanzania, the GOT and TPDC; (iii) to send Tanzanian personnel selected by the GOT and by TPDC to conferences and seminars related to the petroleum industry; and (iv) to purchase for the GOT and TPDC advanced technical books, professional publications, scientific instruments or other equipment required by the GOT and TPDC. The GOT, TPDC and PanAfrican Tanzania shall meet annually in advance in order to formulate the programmes of activities to be undertaken by PanAfrican Tanzania specified in (i) to (iv) above for the next year and beginning with the second year after the Financial Closing, to review the programmes and expenditures spent on such activities in the preceding year. Training and Technology Transfer. 2.6.1. The Service Provider shall provide on-site training and technology transfer to Company technical and operational staff. 2.6.2. Training shall include instructions on servicing and maintenance and replacement parts and spares handling on existing and / or new technologies. 2.6.3. Training and Technology Transfer. 1. With a view to advancing the objectives of Article 8 of the Energy Charter Treaty, the [Project Investors] shall conduct, in the normal course of business, employee training programmes from time to time, including training in each of the skills used in the planning, construction, operation and maintenance of the Pipeline System and training in management for those employees qualified for management training. The training programmes shall from time to time focus both on technical and administrative matters, including contract administration. The cost of such employee training will be a normal cost of business included in operating and maintenance expenses. 2. The [Project Investors] shall submit reports annually to the [Joint Committee] describing in detail its employee training programmes, the implementation of such training programmes and the amounts spent on such training programmes.

Training and Technology Transfer. The final draft of the "Hydrogen Fuel Cell Engines and Related Technologies Manual" was reviewed in December 2001. The manual is the first of its kind and provides an excellent base for training purposes and curriculum development. The updated final copy of the manual is completed and included herein. The referred activities and programs shall include, among others, the adoption, innovation, assimilation, technological research and development, and formation of local human resources in scientific and technological research applied to the Exploration and Extraction of Hydrocarbons in coordination with national institutions of higher education.
