Total Rent. 2.5.1 Except to the extent provided to the contrary in the immediately succeeding sentence, for all purposes of calculating and paying Minimum Rent and Additional Rent under this Lease, the total of the Minimum Rent and Additional Rent ("TOTAL RENT") payable by Tenant in any quarter of any Lease Year will not be less than the Total Rent paid by Tenant for the immediately preceding quarterly period. Notwithstanding the foregoing, Total Rent payable by Tenant with respect to the first (1st) quarter of the Lease Year commencing July 1, 2011 will not be less than the difference obtained by subtracting the sum of Forty-Six Thousand Five Hundred Dollars ($46,500) plus three (3) times the Amortizing Payment from the Total Rent paid by Tenant for the immediately preceding quarterly period. 2.5.2 Notwithstanding any of the other terms of this Section 2, but subject to Section 2.5.3 below, the Total Rent due during each Lease Year shall not increase from one Lease Year to the next by an amount in excess of (i) two and one-half percent (2.5%), multiplied by (ii) the difference obtained by subtracting the sum of (x) the Annual Constant (as defined below), plus (y) the Amortizing Payment times the number of months, if any, for which the Amortizing Payment was made during the Lease Year from the Total Rent due during the immediately preceding Lease Year (the "ANNUAL RENT CAP"). For purposes of applying the Annual Rent Cap to the quarterly installments of Additional Rent due under Section 2.3.1, the Total Rent due during each quarter of any Lease Year shall not increase by an amount in excess of one-fourth (1/4) of the Annual Rent Cap for the then applicable Lease Year. As used herein, the "ANNUAL CONSTANT" shall mean (a) the amount of One Hundred Eighty-Six Thousand Dollars ($186,000) for each Lease Year through and including the Lease Year ending June 30, 2011, and (b) the amount of Zero Dollars ($0) for each Lease Year thereafter.

Total Rent. Tenant shall pay Base Rent plus TI Amortization, [defined in Addendum I, par. 7] (collectively the "Total Rent") in the amount set forth above. Tenant waives and releases all statutory liens and offset rights as to rent. If Tenant is delinquent in any monthly installment of Total Rent or of estimated Operating Expenses beyond 5 days after the due date thereof, and after notice as provided below, Tenant shall pay to Landlord on demand a late charge equal to 5 percent of such delinquent sum. Tenant shall not be obligated to pay the late charge until Landlord has given Tenant 5 days written notice of the delinquent payment (which may be given at any time during the delinquency); provided, however, that such notice shall not be required more than once in any 12-month period or four times over the term of the Lease. The provision for such late charge shall be in addition to all of Landlord's other rights and remedies hereunder or at law and shall not be construed as a penalty or as limiting Landlord's remedies in any manner.
Total Rent. 5.1.1 The Total Rent for the first and (where applicable) subsequent years of the Lease Period shall be due and payable by the Tenant to the Landlord in advance and prior to the Commencement Date, and (where applicable) on every successive anniversary of the said payment date. 5.1.2 The Total Rent shall be paid in the manner specified in the Terms of Payment as set out in Fourth Schedule attached hereto.
