Title Files. Promptly after the execution of this Agreement and until the Closing Date, Seller shall permit Buyer and its representatives at reasonable times during normal business hours to examine, in Seller's offices at their actual location, all abstracts of title, title opinions, title files, ownership maps, lease files, assignments, division orders, payout statements, title curative, other title materials and agreements pertaining to the Assets as requested by Buyer, insofar as the same may now be in existence and in the possession of Seller. No warranty of any kind is made by Seller as to the information so supplied, and Buyer agrees that any conclusions drawn therefrom are the result of its own independent review and judgment.
Title Files. Promptly after the execution of this Agreement and up to and including the Closing Date, Seller shall permit Buyer and its representatives at reasonable times during normal business hours to examine, with copying privileges, in Seller's or Seller’s representative’s offices, all abstracts of title, title opinions, title files, ownership maps, lease files, assignments, division orders, payout statements and agreements pertaining to the Assets as requested by Buyer, insofar as the same may now be in existence and in the possession of Seller. No warranty of any kind is made by Seller as to the information so supplied, and Buyer agrees that any conclusions drawn therefrom are the result of its own independent review and judgment.

Promptly after the execution of this Agreement and during the term of this Agreement, Optionor shall permit Optionee and its representatives at reasonable times during normal business hours to examine, in Optionor’s offices at their actual location, all abstracts of title, title opinions, title files, ownership maps, lease files, assignments, division orders, payout statements, title curative, other title materials and agreements pertaining to the Assets by Optionee, within a reasonable period of time, insofar as the same may now or in the future be in existence and in the possession of Optionor. No warranty of any kind is made by Optionor as to the information so supplied, and Optionee agrees that any conclusions drawn therefrom are the result of its own independent review and judgment. Optionee shall be entitled to copies of all files related to the Assets other than files containing privileged communications or attorney work product.

Promptly after the execution of this Agreement and until the Closing Date, Seller shall permit Buyer and its representatives at reasonable times during normal business hours to examine, in Seller's offices at their actual location, all abstracts of title, title opinions, title files, ownership maps, lease files, assignments, division orders, payout statements, title curative, other title materials and agreements pertaining to the Assets as requested by Buyer, insofar as the same may now be in existence and in the possession of Seller or its Affiliates. Except as otherwise provided herein, no warranty of any kind is made by Seller as to the information so supplied, and Buyer agrees that any conclusions drawn therefrom are the result of its own independent review and judgment.
Title Files. Promptly after the execution of this Agreement and until the Closing Date, Seller will permit Buyer to review at Seller's offices in Lafayette, Louisiana, or other locations upon reasonable request, all available title files, ownership maps, lease files, assignments, division orders, payout statements, agreements, and accounting and other information pertaining to the Assets.
Title Files. Promptly after the execution of this Agreement and until five Business Days prior to the Closing Date, Seller shall permit Buyer and its representatives at reasonable times during normal business hours to examine, in Seller's offices, those title and contract files, permit files, operating and maintenance files, and related documents, records and materials concerning the Operating Assets and the assets of Pipeline and the Starr Partnerships that are now in existence and in the possession of Seller, the Subsidiaries, the Partnership or Pipeline (except to the extent disclosure of same is prohibited pursuant to agreements with third parties and with respect to which Seller has been unable to secure consent to disclose despite its commercially reasonable efforts to do so), including abstracts of title, title opinions, title files, ownership maps, lease files, contract files, assignments, division orders, check vouchers, payout statements and agreements pertaining to the Operating Assets and the assets of Pipeline and the Starr Partnerships. Seller shall cooperate with Buyer and provide such assistance as is reasonably necessary to assist Buyer in determining the validity of the Partnership's title to the Operating Assets and Pipeline's title to its assets and the assets of the Starr Partnerships from the information contained in Seller's files.
Title Files. Promptly after the execution of this Agreement and until the earlier of five business days before closing, or July 1, 2008, whichever is earlier, Seller shall permit Purchaser and its representatives at reasonable times during normal business hours to examine and, at Purchaser’s expense, make such copies of, in Seller’s office at their actual location, all abstracts of title, title opinions, title files, ownership maps, lease files, assignments, division orders, payout statements and agreements pertaining to the Assets as requested by Purchaser, insofar as the same may now be in existence and in the possession of Seller.
Title Files. Promptly after the execution of this Agreement and until the Closing Date, Sellers shall permit Buyer to review at Sellers' offices in Houston, Texas, and other locations where files or other records may be kept, upon reasonable request and during normal working hours, all available title files, ownership maps, lease files, assignments, division orders, payout statements, agreements, and similar information in Sellers' possession pertaining to Sellers' title to the Assets. Such information may have been made available to Buyer prior to the execution of this Agreement under a confidentiality agreement between any of Sellers and Buyer. No warranty of any kind is made by any Seller as to the information so supplied, and Buyer agrees that any conclusions drawn therefrom shall be the result of its own independent review and judgment.
Title Files. Promptly after the execution of this Agreement and until January 13, 1998, Seller shall permit Buyer and its representatives at reasonable times during normal business hours to examine, in Seller's offices, all abstracts of title, title opinions, title files, ownership maps, lease files, assignments, division orders and agreements pertaining to the Assets insofar as the same may now be in existence and in the possession of Seller and all other records of Seller reasonably necessary for Buyer to verify Seller's representations and warranties under Articles II and IV.
