Third Party Goods. Notwithstanding anything in this Agreement to the contrary, Illumina shall have no indemnification obligations with respect to any goods or software originating from a third party and supplied to Customer under this Agreement. Third-party goods are those that are labeled or branded with a third-party’s name. Customer’s sole right to indemnification with respect to such third party goods or software shall be pursuant to the original manufacturer’s or licensor’s indemnity, if any, to Customer, to the extent provided by the original manufacturer or licensor.
Third Party Goods. Illumina has no warranty obligations with respect to any goods or software originating from a third party and supplied to Customer under this Agreement. Third-party goods or software are those that are labeled or branded with a third-party’s name. The warranty for third-party goods or software, if any, are provided by the original manufacturer. Illumina will cooperate with Customer in filing any warranty claims with such third-parties.
Third Party Goods. Notwithstanding anything herein to the contrary, Illumina makes no warranty with respect to any third-party goods provided under this Agreement. Customer’s sole remedy with respect to such third-party goods shall be pursuant to the original manufacturer’s or licensor’s warranty, if any, to Customer, to the extent permitted by the original manufacturer or licensor.
Third Party Goods. Leica will flow down any transferable manufacturer’s warranties for any third party manufactured goods sold by Leica.
Third Party Goods. Borrower shall not hold or accept any Third Party Goods, whether on a consignment basis or otherwise, except from a Person approved by Lender, provided that, with respect to any other such Person, Lender has (i) been furnished with an accurate description of the arrangements and agreements (if not reduced to writing) with respect to such Third Party Goods, together with true, correct and complete copies of any written instruments, documents or agreements with respect thereto, and (ii) received an executed intercreditor agreement from such Person in form and substance satisfactory to Lender. If any of the arrangements or instruments, documents or agreements referred to in this subsection 3.7 are amended, modified or supplemented, Borrower promptly shall provide Lender with notice thereof and copies of such amendment, modification or supplement. Schedule 3.7 attached hereto sets forth a complete listing of all Persons now having an interest in any Third Party Goods. Borrower shall take such action as Lender may from time to time require to assure Lender that no Person storing any Third Party Goods with Borrower has any interest in the Negative Pledge Assets.
Third Party Goods. Unless otherwise expressly agreed in writing, Nurse Call Solutions does not provide any warranties for Third Party Goods sold, supplied or arranged by Nurse Call Solutions, and the Customer acknowledges and agrees that:
Third Party Goods. In the event that Terryberry provides tangible goods that are not manufactured by Terryberry (“Third Party Goods”) and to Customer or Customer’s Authorized Users as set forth in an applicable Order, the Non-Manufactured Goods Terms (set forth at xxxx://xxx.xxxxxxxxxx.xxx/nonmanufactured-goods-terms/) shall apply.
Third Party Goods. Except as set forth on Schedule 6.18, hold or accept any raw materials, work in process or finished goods owned by other Persons in such Obligor’s possession, whether on a consignment basis or otherwise.
Third Party Goods. All third-party software, hardware and equipment provided by HPS under any Task Order are provided "As Is".
Third Party Goods. Goods manufactured by others are warranted in accordance with the warranty provided by the manufacturer. DNOW will use reasonable endeavors to provide to NOV the terms of the warranty that the manufacturer offers and that will be extended to NOV. DNOW shall provide such terms of warranty to NOV upon NOV’s request.
