Termination for Reasons Other Than Cause, Death, Disability. If the Participant has a Termination of Service for any reason other than Cause, death or Disability, the Participant may exercise the vested portion of the Option, but only within such period of time ending on the earlier of: (a) the date three months following the Participant’s Termination of Service, or (b) the Expiration Date.
Termination for Reasons Other Than Cause, Death, Disability. If the Participant’s Continuous Service is terminated for any reason other than Cause, death or Disability, the Participant may exercise the vested SARs, but only within such period of time ending on the earlier of (a) the date three months following the termination of the Participant’s Continuous Service or (b) the Expiration Date.

If the Participant's employment is terminated without Cause or by Participant with Good Reason (each as defined in the Employment Agreement, the Participant may exercise the Option only within such period of time ending on the earlier of: (a) the date three months following the termination of the Participant's employment or (b) the Expiration Date.

(i) In the event of the termination of Participant’s Continuous Service by the Company or its subsidiary due to incompetence, in the discretion of the Company, and provided that no circumstance under Section 7.2(b) or Detrimental Activity occurred on the part of such Participant, Settled Shares are subject to repurchase by the Board, at the discretion of the Board, at a price equal to the higher of (i) 25% of the Vesting Date Fair Market Value or (ii) the amount actually paid by the Participant (including costs or tax) to obtain such Settled Shares.

If the Optionee's Continuous Status as an Employee is terminated for any reason other than Cause, death or Disability, the Optionee may exercise the vested portion of the Option, but only within such period of time ending on the earlier of: (a) the date three (3) months following the termination of the Optionee's Continuous Status as an Employee; or (b) the Expiration Date.

If the Participant ceases to be an Employee but provides Continuous Service after termination of employment as a Director or Consultant, the Option shall automatically convert and be deemed a Non-qualified Share Option as of the date that is three months from termination of the Participant's employment and this Option shall continue on the same terms and conditions set forth herein until termination of Participant’s Continuous Service.

Any remaining unvested portion of the Option shall immediately terminate and cease to be exercisable.

If the Participant’s employment with the Company is terminated for any reason other than Cause, death or Disability, the Participant may exercise the vested portion of the Option, but only within such period of time ending on the earlier of: (a) the date three months following the termination of the Participant’s employment with the Company or (b) the Expiration Date. Except as set forth in Section 8 below, the portion of the Option that was not exercisable on the date of the termination of the Participant’s employment with the Company shall be forfeited and become null and void immediately upon cessation.
