Technical Agreement. Concurrently with the execution of this Agreement, the Parties shall execute a technical and quality agreement that appropriately addresses each Party’s responsibilities as they relate to Manufacturing, storage, distribution, regulatory, operational, Testing and quality issues regarding the Product in the form attached hereto as Schedule E (as such technical and quality agreement may be amended from time to time during the Term by mutual agreement of the Parties or to conform to requirements of applicable Law) (the “Technical Agreement”).
Technical Agreement. The detailed instructions in the Technical Agreement attached as Appendix B shall control the manner in which the parties shall perform its obligations related to the manufacture of Product. To the extent that any provision of the Technical Agreement is in conflict with the terms of this Agreement, the terms of the Technical Agreement shall control.
Technical Agreement. The Parties shall agree to the allocation of certain regulatory responsibilities as are customarily contained in a Technical Agreement for the manufacture of active pharmaceutical ingredients. In the event of any conflict between the provisions of this Agreement and such Technical Agreement, the provisions of this Agreement shall govern.
Technical Agreement. Within ninety (90) days after the Effective Date, the Parties shall execute and deliver a new Technical Agreement containing customary provisions consistent with the allocation of responsibilities set forth in this Agreement. Until a new agreement is executed and delivered, the Parties shall operate under the existing Technical Agreement.
Technical Agreement. Upon execution of this Agreement, the Parties shall promptly, and in no event later than ten (10) weeks after the Effective Date, enter into a separate technical agreement, whereby the Parties will define their respective responsibilities in relation to the cGMPs and quality matters, technical specifications, release and the supply of the Product (the “Technical Agreement”). The Technical Agreement shall include examples of the Certificate of Analysis and Certificate of Compliance.
Technical Agreement. Reseller agrees to comply with the Technical Agreement for Network Interoperability, attached as Schedule C.

Technical Agreement. 7.1 After the Commencement Date, the Parties will initiate the negotiation for the Technical Agreement, which is necessary for any review by any regulatory authority in advance of approval of the Drug for marketing, to identify their respective responsibilities in accordance with accepted GMP during the term of this Agreement.

Each party shall perform the duties required of it pursuant to a technical agreement to be entered into by the parties within ninety (90) days of the Effective Date (the “Technical Agreement”).
