Technical Agreement. Concurrently with the execution of this Agreement, the Parties shall execute a technical and quality agreement that appropriately addresses each Party’s responsibilities as they relate to Manufacturing, storage, distribution, regulatory, operational, Testing and quality issues regarding the Product in the form attached hereto as Schedule E (as such technical and quality agreement may be amended from time to time during the Term by mutual agreement of the Parties or to conform to requirements of applicable Law) (the “Technical Agreement”).
Technical Agreement. The detailed instructions in the Technical Agreement attached as Appendix B shall control the manner in which the parties shall perform its obligations related to the manufacture of Product. To the extent that any provision of the Technical Agreement is in conflict with the terms of this Agreement, the terms of the Technical Agreement shall control.
Technical Agreement. Reseller agrees to comply with the Technical Agreement for Network Interoperability, attached as Schedule C.
Technical Agreement. Each party shall perform the duties required of it pursuant to a technical agreement to be entered into by the parties within ninety (90) days of the Effective Date (the “Technical Agreement”). To the extent the Technical Agreement either conflicts with this Agreement or is silent on an issue addressed, this Agreement shall control.
Technical Agreement. Within ninety (90) days of the Effective Date, VIVUS and Paladin shall enter into a separate technical agreement, in a format suitable for submission to the regulatory authorities in the Territory, recording the Specifications and Manufacturing Standards and measures to ensure compliance with applicable regulations relating to production, storage, transportation and release of the Product.
Technical Agreement. Upon execution of this Agreement, the Parties shall promptly, and in no event later than ten (10) weeks after the Effective Date, enter into a separate technical agreement, whereby the Parties will define their respective responsibilities in relation to the cGMPs and quality matters, technical specifications, release and the supply of the Product (the “Technical Agreement”). The Technical Agreement shall include examples of the Certificate of Analysis and Certificate of Compliance.
Technical Agreement. The technical agreement between the PARTIES is attached hereto as Attachment C and incorporated herein by reference. In the event of any conflict or inconsistency between the terms of this AGREEMENT and the terms of such TECHNICAL AGREEMENT, the terms of this AGREEMENT shall govern the relationship between the PARTIES.
Technical Agreement. 7.1 After the Commencement Date, the Parties will initiate the negotiation for the Technical Agreement, which is necessary for any review by any regulatory authority in advance of approval of the Drug for marketing, to identify their respective responsibilities in accordance with accepted GMP during the term of this Agreement.

Technical Agreement. At the Charity’s request, the Company and the Charity will promptly negotiate in good faith, complete and enter into, a ‘technical’ or ‘quality’ agreement that allocates GMP responsibilities between the Parties (“Technical Agreement”) before the Company supplies any GMP Agent Material to the Charity. The terms of any Technical Agreement will be consistent with any requirements and guidelines for technical agreements set out in the Clinical Trial Legislation. The Company and the Charity will comply with the terms of any Technical Agreement they enter into.
