Supplier’s Representative. 7.1 The Supplier shall appoint a suitably qualified and experienced Supplier Representative as named in Schedule 1 who shall be empowered to act on behalf of the Supplier for all purposes connected with this Agreement. Such appointment or any further appointment shall be subject to the approval of the Company. The Supplier’s Representative shall not be replaced without prior written approval of the Company, such approval not to be unreasonably withheld. Any notice, information, instruction or other communication given to the Supplier's Representative or his duly appointed deputy shall be deemed to have been given to the Supplier.

Supplier’s Representative. 28.01 The Company will endeavour to ensure that salesmen, other than those working for greeting card companies, book and magazine vendors, cosmetic companies, potato chip companies, Pharmasales, or their successors, shall not perform bargaining unit work normally performed by clerks. However, the above-mentioned company salesmen may order and reset merchandise, and select merchandise for return or credit.

Supplier’s Representative. The Supplier’s representative (i.e. Account Manager or Project Manager, whichever is applicable), will be responsible for, amongst others, the following: management, administration, monitoring and supervision of the Services or execution of the Project; ensuring that the Services or Project (whichever is applicable) are rendered or executed in accordance with the Standards of Performance (if any) as well as in accordance with the Scope; Quality Assurance of the Services or Project; facilitation of any consents or approvals required from the Customer; and certification of Services rendered or payment milestones achieved, whichever is applicable. The Supplier’s representative will ensure that lawful and reasonable Instructions received from the Customer are executed. Any corrective action and improvements recommended by the Customer and agreed with the Supplier will be implemented by the Supplier’s representative within the time frame agreed between the Parties from time to time.

Supplier’s Representative. 12.1. The Supplier shall appoint a competent representative to superintend the carrying out of the Supply of the System on Site. He shall be fluent in the English language. His name shall be communicated in writing to the Purchaser before work on Site begins pursuant to the Programme.

Confidentiality 18.1 Confidentiality Subject to Clause 18.2: (a) a party must not disclose any unpublished information or documents supplied by the other party in connection with this Contract which are not in the public domain; and (b) the Supplier must not use any information, data, drawings, specifications or other documents supplied by the Principal in connection with this Contract for any purpose other than carrying out the Works, supplying the Equipment or carrying out its obligations under this Contract. 18.2 Permitted disclosure A party may disclose any confidential information or documents: (a) in enforcing this Contract or in a proceeding arising out of or in connection with this Contract or to the extent that disclosure is regarded by that party as necessary to protect its interests; (b) if required under a binding order of a government agency or under a procedure for discovery in any proceedings; (c) if required under any law or any administrative guideline, directive, request or policy whether or not having the force of law and, if not having the force of law, the observance of which is in accordance with the practice of responsible bankers or financial institutions similarly situated; (d) as required or permitted by this Contract; (e) to its legal advisers and its consultants; or (f) with the prior written consent of the other party. 18.3
