SUPERCESSION. All other prior discussions, communications and representations concerning the subject matter of this Agreement are superseded by the terms of this Agreement, and except as specifically provided herein, this Agreement constitutes the entire agreement with respect to the subject matter hereof.
SUPERCESSION. This Agreement supercedes and replaces all other agreements, documents, writings and verbal understandings between the parties with respect to the subject matter of this Agreement.
SUPERCESSION. This Agreement is the final, complete and exclusive expression of the agreement between the Company and the Executive and supersedes and replaces in all respects any prior oral or written employment agreements. In the event of a conflict between the Employment Policies Manual and this Agreement, this Agreement will control in all respects.
SUPERCESSION. Upon the completion of a public offering of its securities by the Company in the United States, this Agreement shall amend and restate in their entirety, the Prior Agreements; provided, however that any representations (but not covenants) made by the Company and the Promoters in the Prior Agreements shall survive and not be amended and restated hereby.
SUPERCESSION. This Agreement supercedes and replaces any prior agreement, understanding or communication, whether oral or written, relating to the subject matter of this Agreement, including but not limited to the Prior Employment Agreement which is hereby terminated effective as of the Effective Time and is waived in part upon the execution of this Agreement as set forth in Section 1.
