Sublet or Assignment. The Company may at any time assign or otherwise transfer all of its rights and interest hereunder to any sublessee or assignee, as the case may be, selected by the Company on such terms as the Company may determine in its sole discretion, provided (a) that no assignment, transfer or sublease shall affect or reduce any of the obligations of the Company hereunder, but all obligations of the Company hereunder shall continue in full force and effect as the obligations of a principal and not of a guarantor or surety, except that the Company shall be released from its obligations hereunder upon the written consent and release of the County, which shall not be unreasonably withheld, to any sublease, assignment or transfer, and (b) that the Company or sublessee shall give the County written notice of any such assignment, transfer or sublease and within thirty (30) days thereafter shall furnish or cause to be furnished to the County a true and complete copy of any such sublease, assignment or other transfer which shall include assumption of the indemnity as provided in Section 7.04 hereof, and all other provisions of this Agreement. The Company acknowledges that such a transfer of an interest under this Agreement may cause the applicable portion of the Project to become ineligible for negotiated fees in lieu of taxes under the Act absent compliance by the Company with the Transfer Provisions; provided that, to the extent permitted by Section 00-00-000 of the Act, or any successor provision, any financing arrangements entered into by the Company with respect to the Project and any security interests granted by the Company in connection therewith shall not be construed as a transfer for purposes of the Transfer Provisions. The County hereby consents to any transfers by the Company to any affiliate of the Company at any time. For such purposes, “affiliate” shall mean any person or entity directly or indirectly controlling, controlled by or under common control with the Company. Consent to such transfer, however, shall not constitute a release by the County under the first sentence of this Section, which release must be separately obtained from the County. The County shall, if the Company requests, acknowledge the receipt and sufficiency of any such notice.
Sublet or Assignment. Except as set forth below, the Lessee has not sublet or assigned any portion of the Premises and no person or firm other than Lessee and its employees is in possession of any portion of the Premises: ;

Sublet or Assignment. The Premises may not be sublet for any duration of time regardless of apartment size, location, or availability of bedrooms. Resident shall not assign this Lease without express written consent of the University. Violations may result in administrative action including possible eviction.
Sublet or Assignment. Tenant shall have the right to assign or sublease all of any part of the Premises to any related entity, subsidiary, successor or affiliate of Tenant without Landlord’s consent or any profit-sharing. Otherwise, Tenant shall have the right to assign or sublease its rights under this Lease or sublet the whole or any part of the Property, Building, Premises and Additional Property for Parking with Landlord’s prior written consent, which shall not be unreasonably withheld, conditioned or delayed. Any sublease profits under a transfer that requires Landlord’s consent shall be split 50/50 between Landlord and Tenant after Tenant deducts reasonable fees for marketing, tenant improvements, demising costs, legal expenses and brokerage fees.
Sublet or Assignment. The Tenant may sublet all or any portion of the Premises and may assign this Lease to an affiliate of Tenant without the prior written consent of the City; provided that the Tenant gives the City written notice of such subletting or assignment within thirty (30) days after such action. The Tenant shall be entitled to assign this Lease to future owners of the Hotel located at 0 Xxxxxxx Xxxxxx upon written notice to the City without the consent of the City; provided that the Tenant shall give the City notice of such assignment within thirty (30) days after such assignment.
Sublet or Assignment. Xxxxxx agrees not to transfer nor assign this Agreement, nor let nor sublet the whole or any part of said premises, nor allow anyone to share said premises, or keep roomers or boarders, without the prior written consent of Landlord. Tenant will forfeit their security deposit if they are approved to sublease.
Sublet or Assignment. Sub-subtenant shall not assign this Sub-sublease nor ---------------------- sublet the Demised Premises in whole or in part, and shall not permit Sub- subtenant's interest in this Sub-sublease to be vested in any third party by operation of law or otherwise.
Sublet or Assignment. Lessee may not, whether voluntarily or by operation of law, sublet all or any part of the Premises or assign its interest in this Lease. In addition, Lessee may not mortgage, pledge or hypothecate this Lease. Any prohibited assignment, sublease, mortgage, pledge or hypothecation is voidable by Lessor.

Tenant shall be entitled to sublet or assign all or any portion of the Lease or Premises to any affiliate or successor of Tenant which owns the Site, or to future owners of the Site, without prior written consent of the City; provided that the Tenant shall give the City notice of such sublet, transfer, or assignment within thirty (30) days after such action. Subject to the foregoing, this Lease shall inure to the benefit of the parties and their successors and assigns.
