Subject Data. In consideration for the payment described, the Vendor agrees to assign all rights, title, and interest in all deliverable Subject Data first produced under this agreement, including copyright, to the University. For purposes of this paragraph Subject Data shall include but not be limited to all notes, designs, drawings, memoranda, reports, computer programs/input and output, and other technical data produced pursuant to this Agreement, but shall not include Vendor’s pre-existing intellectual property including previously copyrighted material, material licensed to the University, or other prior art Vendor understands the University shall have exclusive right to use the Subject Data for any purpose, including but not limited to use, reproduction, distribution, sale, licensing, and sublicensing of the Subject Data, and the development of derivative works based in whole or in part on the Subject Data, without further compensation to Vendor. For data not first produced under this agreement, the Vendor certifies that it has acquired the necessary rights/licenses for the University to copy and use said data, at its discretion, without compensation by the University. In no event shall the University be liable for any claims or liabilities arising out of the use of any libelous or other unlawful matter contained in any data furnished by the Vendor under this agreement.

The term “subject data” when used in this agreement means recorded data or information, regardless of the medium, and whether or not copyrighted, that is acquired in the performance of this agreement or specified to be or is delivered under this agreement, whether such data is final or preliminary. The term includes all analyses, reports, storage tapes, discs or other media, studies, graphs or other documents or information prepared, supplied, commissioned, gathered or generated by Expert or Consulting Firm for the Attorney General or States in the performance of its obligations under this agreement, and all documents, materials and computer discs provided by the Attorney General or the States to Expert or Consulting Firm in order that it may perform the services required under this agreement.

Group agrees that Hythiam shall have access at all times to all patient records for patients provided care using the Licensed Technology ; provided that this access shall be in compliance with all Laws, including HIPAA. In addition, Group shall provide to Hythiam for prompt downloading and/or processing in an agreed upon format all patient data collected or maintained by Group, Group Personnel or Group Physicians with respect to each individual provided care using all or part of the Licensed Technology (“Subject Data”). The Business Associate/Data Use Agreement attached to this Agreement as Schedule C shall govern the use and disclosure by Hythiam of the Subject Data.

PC agrees that to the extent necessary for Manager to perform its obligations under this Agreement and to the extent permitted by Law, including but not limited to in accordance with any patient authorizations that meet the requirements of applicable Law, Manager shall have access at all times to all patient records for patients provided care using the Licensed Technology (“Subject Data”). In addition, PC shall provide the Subject Data to Manager for prompt downloading and/or processing in an agreed-upon format to the extent maintained by PC, PC personnel or PC staff physicians, to the extent permitted by Law. The Business Associate/Data Use Agreement attached to this Agreement as Exhibit D shall govern the use and disclosure by Manager of the Subject Data.

Subject Data. All Technical Data generated in connection with the performance of this Agreement, or that arises out of the use of any materials or enabling technology provided or used by the Recipient in the performance of this Agreement, other than Recipient materials or Recipient Confidential Information, whether conducted by the US government or the Recipient (collectively, the "Subject Data"), shall be owned by the Recipient. Notwithstanding the foregoing, Recipient shall have unlimited rights in any Subject Data generated solely by the US government. [***].

All data generated in connection with the performance of this Agreement, or that arises out of the use of any materials or enabling technology provided or used by the Awardee in the performance of this Agreement, other Awardee materials or Awardee confidential information, whether conducted by the Government or the Awardee (collectively, the "Subject Data"), shall be owned by the Awardee. Subject Data in any document that would disclose an enabling disclosure of an OTA Invention will be subject to Limited Rights until publication of patent application in accordance with Article 10 of this Agreement, and such Subject Data will be identified accordingly with reasonable specificity. Once publicized, the USG shall receive Government Purpose Rights to all such Subject Data.
