Sub-Affiliates. 6.27.1 Any person who was introduced to us by you and joins the Traffic Flow Partners Affiliate Program as an affiliate thereof, by submitting to us the standard application form through the Sub-Affiliate link on the Traffic Flow Partners Affiliate Program site, will be considered to be your Sub-Affiliate and tracked as such. Any Sub-Affiliate will be treated as a regular affiliate in the Traffic Flow Partners Affiliate Program and will be bound by the terms and conditions of this Agreement, and you will be liable to us, jointly and severally with any Sub-Affiliate, for the performance of such Sub-Affiliate’s obligations under the Agreement.
6.27.2 To reward you for your Sub-Affiliates and to incentivise you to obtain additional Sub- Affiliates, in addition to paying the Sub-Affiliate (as an affiliate of ours) the commissions set forth in this Agreement, We will also pay you an additional commission in respect of the payments made to the Sub-Affiliate, as set forth in the table below.
6.27.3 Levels in Relation to You - 1st Tier – 2.0% Commission - 2nd Tier – 1.5% Commission - 3rd Tier – 1.0% Commission
6.27.4 All of your Sub-Affiliates are our affiliates and, as such, will be entitled to payments according to one of the payment plans described above. Being our affiliates who are party to this Agreement, they will also be entitled to introduce to us their own Sub-Affiliates, each of whom will automatically also be considered as your indirect Sub-Affiliate. As a result, you may have “under you” a chain of Sub-Affiliates, each constituting a certain “Tier” in relation to you. The commission table above shows the percentage you will be entitled to receive from us of the payments made by us to the relevant Sub-Affiliate. For example, if a User uses any of the Sites through a 3rd Tier Sub-Affiliate of yours (i.e. the User enters the Site through the unique link given by us to such Sub-Affiliate as an affiliate of ours), We will pay you, in addition to the payments made by us to that Sub-Affiliate in accordance with the applicable payment plan, a commission of 1% of all such payments.
Sub-Affiliates. 5.1 In addition to payments to be made under clause 4 above, where a new affiliate registers for the Affiliate Program for the first time via the Tracking Links (a “Sub-Affiliate) you will be entitled to a payment equivalent to the percentage notified to you via the Affiliate Program Site, of any payments made to such Sub-Affiliate under its affiliate agreement with Luckiest Partners.
5.2 Sub-Affiliates may not be directly or indirectly owned or controlled by you or your Immediate Family and you shall not be entitled to any payment under this Agreement in relation to such a Sub-Affiliate.
5.3 In the event that any Affiliate Payment to a Sub-Affiliate is reclaimed under the terms of its agreement with Luckiest Partners or payments are made to you in breach of clause 5.2 above you will promptly repay the amount paid on receiving notice from Luckiest Partners. Luckiest Partners will be entitled, but not obliged, to offset any amount owed as a result against future payments under this Agreement.
5.4 All payments under clause 5 will terminate when payments to the relevant Sub-Affiliate end for whatever reason.
5.5 Luckiest Partners may change the level of any payment due under clause 5.1 above in respect of future Sub-Affiliates you refer at any time by giving notice to you.
5.6 Payments under clause 5 will be made in accordance with clauses 4.9 to 4.16 above.
Sub-Affiliates. Sub-affiliate commission is offered upon request and after discussion with the affiliate manager.
Sub-Affiliates. The Affiliate shall procure that the Sub-Affiliate shall fully comply with all the provisions of this Agreement, and any separate agreement executed between the Sub-Affiliate and the Company, with the Program and any instructions of the Company.
Sub-Affiliates. The Affiliate shall provide the Company with all information requested by the Company in order to enable the Company to approve the relevant Sub-Affiliate.
Sub-Affiliates. This Agreement shall be binding on and extend to and cover the Sub-Affiliates, where applicable.
Sub-Affiliates. 6.1. The Affiliate may expand their outreach through Sub-Affiliates. The Sub-Affiliates shall be bound by the full force of the terms and conditions set forth in this Agreement and the Affiliate shall remain responsible for the full compliance of the Sub-Affiliate with all applicable rules, laws, regulations, professional standards, and ethics. Material breaches, either by the Affiliate or their Sub-Affiliates, shall give the absolute right to PrimeXBT to terminate this Agreement with immediate effect.
6.2. The Affiliate agrees and undertakes to provide PrimeXBT, in advance, with the contact details of all entities or persons who shall act as Sub- Affiliates, alongside the information regarding the Sub-Affiliate Channels and Websites. The Affiliate should disclose all necessary information to PrimeXBT so that it can adequately verify the Sub- Affiliate’s identity and their compliance with the requirements of this Agreement, the Marketing Guidelines and applicable laws and regulations.
6.3. Sub-Affiliates shall be onboarded through the Partner Management Platform after the necessary KYC/KYB checks are carried out.
6.4. Marketing Campaigns involving Sub-Affiliates, including the Campaign type and the responsible Sub-Affiliate, must be mutually agreed to by PrimeXBT in advance.
6.5. Sub-Affiliate payments shall be processed in the same way and through the same remuneration models as the introducing Affiliate. The Affiliate shall be entitled to a commission (the “Sub-Affiliate Commission”) on all eligible Sub-Affiliate Traffic and Revenues, the specific terms thereof being set forth in the Partnership Offer.
Sub-Affiliates i. Subject to our prior written approval, you may become a Master-Affiliate and refer any third party to us who isn’t currently or hasn’t previously been registered with us as an Affiliate, Sub-Affiliate or Master Affiliate. If you’re a Master Affiliate - any approved Affiliate that you refer to us will be considered your Sub-Affiliate.
ii. Affiliates can’t be linked with any Related Parties as Master Affiliates and Sub-Affiliates.
Sub-Affiliates. We do not offer sub affiliate commission.
Sub-Affiliates. (a) The Affiliate shall provide the Company with all information requested by the Company in order to enable the Company to approve the relevant Sub-Affiliate.
(b) The Affiliate shall procure that the Sub-Affiliate shall fully comply with all the provisions of this Agreement, and any separate agreement executed between the Sub-Affiliate and the Company, with the Program and any instructions of the Company.
(c) This Agreement shall be binding on and extend to and cover the Sub-Affiliates, where applicable.
(d) The Sub-Affiliate relationship remains upon the sole and absolute discretion of the Company and shall be revoked at any time.
