Here you will be able to review our Program’s details, download HTML code (that provides links to web pages within the Cerule web site), track your commissions, browse and get approved marketing collateral, and details of promotions. In order for us to accurately keep track of all guest visits from your site to ours, you must use the HTML code that we provide for each banner, text link, or other affiliate link we provide you with. 2.13 Cerule reserves the right, at any time, to review your placement and approve the use of Your Links and require that you change the placement or use to comply with the guidelines provided to you. 2.14 The maintenance and the updating of your site will be your responsibility. Affiliate Obligations. Other than trade payables, other Indebtedness in the ordinary course of business or any interest payable from time to time in respect of and in accordance with the terms of any such Indebtedness, no Indebtedness is owing to the Company or any of its Subsidiaries from the Affiliates of the Company on the Effective Date, other than amounts permitted pursuant to Section 11.8(f).

The Affiliate shall immediately abide by any such notice. 4.6 The Affiliate shall not do any act which would or might damage the reputation and good will of ATFX or engage in any actions that may be illegal, fraudulent or deceitful. 4.7 Any immediate family members, affiliated companies and/or officers of the Affiliate will be disqualified from being clients of ATFX. 4.8 During the term of this Agreement, the Affiliate agrees to comply at all times with the following obligations: 4.8.1 Maintain all licenses and permits and obtain all consents and other approvals required; 4.8.2 Comply with all laws and rules that are applicable to the provision of its Services; 4.8.3 Perform the Services in a manner designed to avoid incurring any damage to ATFX or their property, assets, reputation or goodwill; 4.8.4 Keep detailed books and records of its activities and provide ATFX upon its request with information relating to its activities under this Agreement; 4.8.5 Provide ATFX with prompt notice of the occurrence of or any intent to effect a change of ownership or control of the Affiliate. 4.9 The Affiliate must not be in direct competition with ATFX. Agree that payment and liability for all authorized charges and applicable fees for its authorized Cardholders and all other amounts becoming due in connection with the participation of such Affiliate in the Program are the full responsibility of the Affiliate. At the discretion of the Contractor, a Rebate Adjustment may be made for the obligations of the Affiliate, when applicable. Registering as Affiliate In order to join our Affiliate Program, you are required to agree to these terms and conditions by checking the corresponding box during the submission of your Affiliate Application. The Affiliate Application is an essential component of the Affiliate Agreement. Affiliate Obligations. 7.1 Where applicable, the Affiliate must meet all performance metrics communicated by the Company, including but not limited to total partner activity, link click-through rates, and customer sign-ups attributed to Affiliate links (the “Performance Standards”).
