STUDENT DATA. “Student Data” means any data, metadata, information, records, or other materials of any nature recorded in any form whatsoever, that is generated, disclosed, maintained by, transmitted, created, or provided by the Board, either directly or through its students, employees, agents, and subcontractors, including, but not limited to the Student Data listed in Exhibit B attached hereto and incorporated herein, and all information used, created, maintained or generated through the use of any technology, including but not limited to the Products (as defined in this Agreement) by the Board, its employees, agents, subcontractors, students, parents or legal guardians of any CPS students. For purposes of this Agreement, Student Data is Confidential Information hereunder; additional requirements regarding Student Data specifically are described below.
STUDENT DATA. In the course of performing work for or on behalf of the University, Contractor may have access to data associated with prospective and/or enrolled students. Such information may be subject to the Family Educational Rights and Privacy Act (“FERPA”), 20 U.S.C. 1232g, et seq. and the regulations promulgated thereunder at 34 C.F.R. Part 99. Regardless of format or medium (e.g., electronic, paper, audio, video), such information is considered confidential and protected by FERPA. Such information shall not be disclosed or shared with any third party by Contractor, except as permitted by the terms of this Agreement to subcontractors whose services are necessary for Contractor to carry out its services and only then to subcontractors who have agreed to maintain the confidentiality of the data to the same extent required of Contractor under the terms of this Agreement. Contractor shall implement, maintain and use appropriate administrative, technical and physical security measures to preserve the confidentiality, integrity and availability of all University data received from, or on behalf of the University. These measures shall be extended by contract between Contractor to all subcontractors used by Contractor who may encounter University data. In the event any person(s) seek to access protected and confidential data or information, whether in accordance with FERPA or other federal or relevant state law or regulations, that Contractor will promptly inform the University of such request in writing. Contractor shall only retrieve such data or information upon receipt of, and in accordance with, written directions by the University. Contractor shall not provide direct access to such data or information or respond to individual requests. All requests and all data or information retrieved by Contractor in response to such requests shall be provided to the University. It shall be the University’s sole responsibility to respond to requests for data or information received by Contractor regarding University data or information. Should Contractor receive a court order or lawfully issued subpoena seeking the release of such data or information, Contractor shall provide immediate notification to the University of its receipt of such court order or lawfully issued subpoena and shall promptly provide the University with a copy of such court order or lawfully issued subpoena prior to releasing the requested data or information.

STUDENT DATA. Subscriber represents, warrants, and covenants that it has all necessary consents in respect of any Student Data that it shares with Britannica to enable Britannica to provide the Services in the manner described herein and in the Usage Agreements. Subscriber hereby grants Britannica a non- exclusive license for the duration of the Agreement (and for thirty (30) days thereafter) to use the Student Data as reasonably required to provide the Services and as described in the “Children’s Privacy” section of Britannica’s Institutional Privacy Policy located at xxxxx://xxxxxxxxx.xxxxxxxxxx.xxx/privacy.html.

STUDENT DATA. A student’s Personal Data is used internally to provide the student with appropriate educational activities, and to report their performance to their parents and teachers. We may access student Personal Data when providing customer support or investigating a reported issue with our program. PARENT AND TEACHER DATA A parent’s or teacher’s Personal Data is used internally for sign-in purposes and, with permission, to send them reports, announcements, and alerts related to XtraMath. We may access a parent’s or teacher’s Personal Data when providing them with requested support. PARENT AND TEACHER DATA We release Personal Data to third parties only in the following circumstances: • When the user requests the disclosure, such as a teacher sharing their class with another teacher. • When the third party is a trusted service provider, and the data is required to adequately perform the service. We carefully vet our service providers and their security practices. For details, see Appendix A, List of Third Party Providers. • When required by law or a court order. • In the event of a joint venture, sale or merger with a third party. The third party would be required to uphold our Terms, including our Privacy Policy for all existing accounts. We would provide advance notice before sharing data with that third party. XtraMath never releases Personal Data for any kind of third-party advertising.
STUDENT DATA. Baseline and progress data on students served by the Provider shall also be submitted at the same time the invoice is submitted. Said baseline and progress data shall be provided to the ISD Office of Early Learning, in a form deemed acceptable by the Office of Early Learning.

IfMPS determines that Contractor has disclosed any student record information in violation of either federal or state law, without prejudice to any other rights or remedies the MPS may have, MPS shall be entitled to immediately tenninate this and every other existing Contract without further liability. Moreover, MPS may bar Contractor from future MPS contracts for varying periods up to and including pennanent debarment.
