STANDARD CONDITIONS OF SALE. 11.1 Subject to the variations mentioned in sub-clause 11.2, the Standard Conditions of Sale (Third Edition) (excluding Conditions 1.1.1(a)(ii), 1.2, 1.3, 1.4, 3.2.2, 3.2.3, 4.2.3, 4.5.2, 4.5.5, 5.1.1, 5.1.2, 5.2.3, 8.1.3 and 8.

STANDARD CONDITIONS OF SALE. In purchasing the Products from Polarchem, AGT shall be bound by Polarchem’s standard conditions of sale in force from time to time and AGT shall not make or give any promises, representations, warranties or guarantees with reference to the Products except such as are consistent with this Agreement or as expressly authorized by Polarchem in writing. In the event of any conflict or ambiguity arising out of a comparison of this Agreement and Polarchem’s standard conditions of sale, the provisions of this Agreement shall prevail.

STANDARD CONDITIONS OF SALE. This Agreement incorporates the Standard Conditions of Sale (Fifth Edition) with the following changes and where there is a conflict between those Conditions and this Agreement, this Agreement prevails:- 3.1 Conditions 2.2.5 and 2.2.6 do not apply and the Seller’s Conveyancer upon receipt of the Deposit Payments shall place the same in the Designated Account as soon as reasonably possible, but in any event within two Working Days after the date of this Agreement, on the terms and conditions set out in set out in this Agreement. 3.2 Conditions 3.3.2 (b); 3.3.2 (c); and 8. 3.3 do not apply.

STANDARD CONDITIONS OF SALE. (1) Subject to sub-paragraph (2) the Standard Conditions of Sale (Third Edition) are incorporated in this agreement so far as they apply to a sale by private treaty and are not inconsistent with the other clauses of or Schedules to this agreement or with the other paragraphs of this Schedule. (2) Conditions 3.4, 5, 6.8, 7.3, 7.5, 7.6, 8 and 9 of the Standard Conditions of Sale (Third Edition) do not apply. 1. The Leicester Square Properties In this part of the Schedule "Leicester Square Properties" means the Properties listed at numbers 4 and 5 of Part I of Schedule 4. (1) The Seller shall produce proposals in respect of the Works specified in sub-paragraph (2) of this paragraph) for the approval of the Purchaser (such approval not to be unreasonably withheld or delayed) and upon such approval being obtained the Seller shall apply to the landlord of the Leicester Square Properties for consent for such alterations (the cost of such alterations and the landlord's consent to them (subject to the provisions at sub -paragraph (5)) being borne jointly by the Seller and the Purchaser) and when the leases of the Leicester Square Properties are assigned by the Seller to the Purchaser the Purchaser shall diligently continue with the application for such consent. (2) The "Works" shall be such works and alterations to the Leicester Square Properties and the Seller's adjoining premises at ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ as the Seller and the Purchaser agree are reasonably necessary to be carried out to enable the Seller and the Purchaser (or the Nominated Purchaser) to continue their respective business efficiently and effectively: (3) The Seller and the Purchaser shall enter into such form of licence for alterations ("the Licence") in respect of the Works as the landlord of the Leicester Square Properties properly requires pursuant to the terms of the leases of the Leicester Square Properties and in the event that the said landlord is prepared to grant the Licence prior to the assignment of the leases of the Leicester Square Properties then the Seller shall be entitled to enter into such Licence and the Purchaser shall fully and effectively indemnify the Seller in respect of any liability incurred by the Seller as a result of its entering into the Licence. (4) Once the Licence has been granted, the Purchaser shall diligently and duly carry out the Works (in relation to the Leicester Square Properties) and the Seller shall duly and diligently carry out the Works (in relation to it...

STANDARD CONDITIONS OF SALE. The General Conditions shall apply to this Agreement but where there is a conflict between the General Conditions and the express terms of this Agreement then this Agreement prevails.

STANDARD CONDITIONS OF SALE. 3.1 The sale of the Property is subject to the Standard Conditions (as hereby varied) so far as the same are not inconsistent with the terms hereof and subject to the following: (a) the prescribed rate of interest is 4% per annum above Westpac Indicator Lending Rate from time to time;

STANDARD CONDITIONS OF SALE. The provisions of our Offer, including all drawings, specifications, descriptions and other documents referenced or incorporated therein, and Seller’s Standard Conditions of Sale set forth hereafter constitute the entire contract between Seller and Buyer, and supersede all prior quotations, purchase orders, correspondence and other communications, written or oral, between Seller and Buyer. Failure of Seller to object to any provision in conflict herewith contained in Buyer’s purchase order or elsewhere shall not constitute a waiver of the provisions hereof, nor an acceptance of Buyer’s provisions. No waiver, alteration or modification of the terms herein, nor representations or warranties other than expressly herein contained shall be binding unless explicitly made or accepted in writing by an Officer of the Seller. Buyer’s acceptance of Supplier’s Offer, or delivery of any shipment of merchandise covered by this Offer shall constitute acceptance in full by Buyer of these Standard Terms and Conditions of Sale.

STANDARD CONDITIONS OF SALE. Unless otherwise indicated on the face of this Warranty Agreement, title, liability for and risk of loss to Products sold hereunder (the “Products”) passes to Buyer upon loading for shipment at Seller’s producing location.
