SOPs. Sera and LabCorp shall use diligent and good faith efforts to agree upon standard operating procedures for LabCorp’s acceptance of orders for Tests, collection, processing and shipment of Samples to Sera, and Sera’s provision of Sera Results Reports (defined below) (“Intercompany SOPs”) for each Test within thirty (30) days of the Effective Date. Sera acknowledges that LabCorp is not responsible for ensuring that the collection, preservation, shipping and handling specifications established in the Intercompany SOPs are sufficient to ensure the viability of Samples for performance of the Test. Each Intercompany SOP may only be amended by the Parties in writing. Neither Party shall change nor deviate from an Intercompany SOP without the other Party’s prior written approval of the proposed change or deviation. Sera shall maintain written documentation of its own technical standard operating procedures for its performance of the Tests (“Sera SOPs”), which shall constitute Sera’s Confidential Information. For clarity, the Sera SOPs shall not form part of the Intercompany SOPs.
SOPs. Elan will have standard operating procedures reasonably acceptable to ▇▇▇▇▇▇ relating to handling of adverse events and complaints as agreed herein, including mechanisms for training and ensuring compliance to these and applicable FDA requirements.
SOPs. Seller hereby grants to Buyer a non-exclusive, irrevocable, royalty free, perpetual license, with the right to sublicense, to use Seller’s SOPs, a list of which is set forth on Schedule 14(f) attached hereto. Buyer acknowledges that Seller may sell the business of DB1/63152084.9 Encorium Oy and its subsidiaries, whether through the sale of stock of Encorium Oy and its subsidiaries, the sale of assets of Encorium Oy and its subsidiaries, the sale of stock of Seller, the merger of Seller, the merger of Encorium Oy and its subsidiaries, or otherwise. Buyer acknowledges that Seller and Encorium Oy and its subsidiaries utilize the same SOPs and that Seller may sell, transfer, license or assign the SOPs to a purchaser of the business of Encorium Oy. Seller hereby acknowledges and agrees that the SOPs are the confidential information of Buyer, and Seller shall hold the SOPs in strict confidence at all times from and after the Closing Date, and shall not directly or indirectly transfer, reveal, disclose or use the SOPs for its own or any other purposes. Buyer acknowledges and agrees that a sale of Encorium Oy and any actions taken by Seller to effectuate the foregoing, including a sale and transfer of the SOPs, will in no way be construed to violate any provisions of this Agreement.
SOPs. Subject to the terms hereof, for future Trials, OPKO will conduct, or ensure that each Approved CRO conducts, all Trials in accordance with standard operating procedures (the “SOPs”), access to electronic copies of which will be provided by OPKO to the JDC for review prior to the initiation of each Trial at a time to be determined by the JDC. For existing Trials OPKO will provide access to electronic copies of all current SOPs within ninety (90) days following the Effective Date. Pfizer, from time to time, may request OPKO to make amendments to current SOPs if, in Pfizer’s opinion, these changes are required to meet regulatory requirements or will have a material impact on the success of any BLA submission by Pfizer. In the event of any updates to existing SOPs, or in the event that any Trial is not being conducted in compliance with the SOPs (as updated from time to time), OPKO shall take all such actions as may be necessary to bring such Trial into compliance with the then-current SOPs as promptly as is practicable.
SOPs. KEND▇▇ ▇▇▇ll make available to SEAR▇▇ ▇▇▇ its review KEND▇▇'▇ standard operating procedures (SOPs) relating to the Services during the time that this Agreement is in effect.

Each Party will, upon the other Party’s reasonable request, supply copies to the other Party of all standard operating procedures of such Party (or its applicable Subcontractors to the extent in the possession and Control of such Party) relevant to the activities performed by or on behalf of such Party under the Research Program. In furtherance of the foregoing, each Party will use commercially reasonable efforts to obtain such copies from its Subcontractors, with the right to share the same with the other Party.

SOPs. PPD shall conduct the Study and complete forms for observations and ------ other aspects of the Study according to the formats and procedures set forth in the SOPs. These SOPs are subject to revision by ▇▇▇▇▇▇▇▇▇▇ and in the event of such SOP revision, ▇▇▇▇▇▇▇▇▇▇ may require PPD to comply with the new SOPs. In such event, ▇▇▇▇▇▇▇▇▇▇ shall promptly provide PPD with copies of the new SOPs. If any such SOP revision can reasonably be expected to affect the budget or timelines for the Study, PPD shall submit to ▇▇▇▇▇▇▇▇▇▇ revised cost estimates or timelines for the relevant services which will become a part of this Agreement upon written approval by ▇▇▇▇▇▇▇▇▇▇.
