Shipment Terms. Seller shall ship Goods in the method identified by AGILENT to permit Seller to meet the delivery date(s) identified by AGILENT on the face of this Order (“Delivery Date”). If Seller ships by any other method, Seller shall pay any resulting increase in the cost of freight. Except as specified below, shipments of Goods shall be FCA (as that term is defined in the Incoterms 2010 handbook) Seller's place of shipment/export, and title and risk of loss or damage shall pass from Seller to AGILENT upon Seller's delivery of the Goods to the designated carrier at the place of shipment/export. If AGILENT agrees to pay for applicable freight charges and duties as part of the purchase price, shipment shall be DDP, and title and risk of loss or damage shall pass from Seller to AGILENT upon Seller’s delivery of the Goods to the "Ship To" address identified by AGILENT on the face of this Order.

Shipment Terms. Subject to receipt and acceptance by Distributor of an order for purchase or consignment, unless otherwise agreed in writing, shipments, whether for purchased or consigned Product, shall be F.O.B. Distributor’s facility in Richardson, TX. Distributor shall not be obligated to make direct shipments to Subdistributor’s customers, unless otherwise agreed by the Parties. Distributor’s obligation to effect shipment of the Products and Instruments shall be fully discharged and all title (for purchased items) and risk of loss or damage (for all items) shall pass to Subdistributor when the Products and the Instruments are delivered to a carrier for shipment to Subdistributor. In addition, Subdistributor shall pay all charges, including, without limitation, all transportation charges and insurance premiums associated with the shipment and purchasing of the Products.
Shipment Terms. Unless Seller agrees otherwise all shipments shall be FCA (Free Carrier) at Seller’s designated location (delivery point) (per ICC Incoterms 2010). Seller shall also be entitled to impose additional charges for the completion, at Buyer’s request, of forms with respect to shipping. Shipment Terms. Shipping terms for all orders of Products placed are FOB Destination. “FOB Destination” shall mean that: (i) title and risk of loss to the Products shall not pass to Saint Luke’s until the Product is delivered and signed for at the Saint Luke’s designated shipping destination; and (ii) Company will be responsible for paying applicable freight charges to the commercial carrier. Company shall remain responsible for the condition of the Product in transit, insurance, and filing claims with the commercial carrier. In the event Saint Luke’s and Company agree to other shipping terms, such shipping terms shall be consistent with Saint Luke’s policies and shall be in a writing signed by the parties. Company shall deliver the Products in accordance with the terms of this Agreement and the Purchase Order to the attention of the individual and address identified on the Purchase Order.
Shipment Terms. All Products delivered pursuant to this Agreement will be suitably packed for shipment in MaxLinear’s standard shipping cartons, marked for shipment, and delivered to Distributor or its carrier agent FOB MaxLinear’s point of shipment, at which time risk of loss and title, will pass to Distributor. Shipment Terms a) The prices set forth in Section 7.0 Product Price include MSL's out of pocket costs for freight, duty, customs, clearance, and appropriate insurance, and any other costs related to the shipment, export, or import of the Products before delivery to IBM.
