Service Representatives. Each party shall (a) appoint a Service Representative for each Service and (b) identify such Service Representative on the applicable Transitional Service Schedule. The Service Representatives for a particular Service shall coordinate the scheduling and performance of that Service hereunder. Either party may replace any Service Representative at any time by providing written notice of such replacement to the other party.

Service Representatives. Each Party will designate an individual who shall be the primary interface for the purposes of coordinating the Services provided hereunder (the "Service Representative"). Such individual shall (A) coordinate with the other Party and its Service Representative to provide the relevant contacts in that Party's applicable departments for the purposes of implementing and performing the Services, (B) evaluate in consultation with the other Party's Service Representative when a particular Service may be terminated, and (C) have the authority and power to make decisions with respect to actions to be taken by such Party with respect to the provision of Services under this Agreement. The Service Representative shall perform the duties required hereby in a professional and timely manner. Each Party may change its Service Representative by giving written notice to the other Party in accordance with the notice provisions of this Agreement.
Service Representatives. Each party shall maintain a representative, who may be relied upon exclusively in dealing with the other party under this Agreement for purposes of determining whether the Provided Services to be performed hereunder have been fairly allocated to satisfy its own needs and, if appropriate, reimbursed (each, a “Service Representative”). Concurrently with the execution and delivery of this Agreement, each party is identifying its initial Services Representative as its President or Chief Executive Officer. Either Party may change Services Representative at any time by giving written notice to the other party. In performing its obligations with respect to Provided Services under this Agreement, a party shall be entitled to rely upon any instructions, authorizations, approvals or other information provided by the Services Representative of the other party.

Each Senior Representative shall additionally be responsible for the replacement or substitution, as necessary, of any Service Representatives for such Senior Representative's assigned Services, and shall coordinate any requests for changes in the scope of such Services, or for the provision of any additional related Services, with such Senior Representative's counterpart with the other Party. Either Party may nominate a substitute Service Representative for itself with respect to a Service at any time upon reasonable notice to the other Party. Any request for a Service made by Southern Energy through any person other than Southern Energy's Senior Representative or Service Representative with respect to such Service shall not be binding upon Southern.

Each Party is entitled to rely on statements from and other actions by the Services Representative for the other Party as having been authorized by the other Party without further inquiry as to whether such Services Representative had authority to act, absent gross negligence or willful misconduct and except that such Services Representatives do not have the power to amend this Agreement.
