Section 207. MODEL 3 SELLER 27 A seller registered under the Agreement that has sales in at least five member states, has total 28 annual sales revenue of at least five hundred million dollars, has a proprietary system that 29 calculates the amount of tax due each jurisdiction, and has entered into a performance agreement 1 with the member states that establishes a tax performance standard for the seller. As used in this 2 definition, a seller includes an affiliated group of sellers using the same proprietary system.

Section 207. 04 Openings at the Main Office which result from relocations to Branch Offices shall be filled by employees who are left without a supervisor in the following manner: the most senior of those employees left without a supervisor shall be offered first choice of such openings within their own department, one of which must be selected. Then each employee, one-by-one in order of employee seniority with the Employer, will be given their choice of the remaining openings until all such openings have been filled.
Section 207. The Trustee. The Trustee shall not be responsible in any manner whatsoever for or in respect of the validity or sufficiency of the First Supplemental Indenture or for or in respect of the recitals contained herein, all of which recitals are made solely by PEC and Integrys. All of the provisions contained in the Indenture in respect of the rights, privileges, immunities, powers, and duties of the Trustee shall be applicable in respect of this First Supplemental Indenture as fully and with like force and effect as though fully set forth in full herein. The Trustee, subject to the provisions of the Trust Indenture Act, enters into this First Supplemental Indenture in reliance on an Opinion of Counsel as provided by Section 903 of the Indenture, and makes no independent determination that this Supplemental Indenture is authorized or permitted by the Original Indenture.
