Scope Limitation. Except to the extent required by applicable law, Distributor shall not pass on to End Users a warranty of greater scope or protection than the foregoing warranty (including the limited remedy, exclusions, and limitation of liability) set forth herein.
Scope Limitation. For the avoidance of doubt, the representations and warranties in Sections 2.1(c) and 2.1(d) shall not be deemed to be applicable to the Purchase and Sale Agreement or the Termination Agreement (or the transactions contemplated thereby), as such agreements contain their own representations and warranties, which shall govern such agreements and the transactions contemplated thereby.

The term “Proprietary Information” does not include information that: (a) is generally available to the public other than through direct or indirect disclosure by the Recipient or its Representatives; (b) is known by the Recipient or is properly within the legitimate possession of the Recipient prior to receipt of such Proprietary Information from the Discloser; (c) is available to the Recipient on a non-confidential basis from a source other than the Discloser who is not bound by a confidentiality agreement with the Discloser; (d) is independently developed by the Recipient without reference to the Proprietary Information; or (e) is approved for disclosure in writing by an authorized signatory of Discloser.
Scope Limitation. In the event of any conflict between the provisions of this Policy and of the Listing Agreement/ Companies Act 2013 or any other statutory enactments, rules, the provisions of such Listing Agreement/Companies Act 2013 or statutory enactments, rules shall prevail over this Policy.
Scope Limitation. Except with respect to Section 2.2, the licenses and rights granted hereby are limited to Licensed Goods and Licensed Services and are specifically limited to the Territory. Except as permitted under Section 2.2, Licensee shall not place the Trademarks on, nor use the Trademarks in connection with, goods or merchandise or services of any kind or description except Licensed Goods and Licensed Services pursuant to the provisions of this Agreement.
Scope Limitation. The parties agree that (i) West Bend and CMS make no representations or warranties to BCBS regarding Licenses except for those representations and warranties expressly set forth in Section 3.15 of this Agreement and (ii) any Claim relating to a breach of the representations and warranties set forth in Section 3.15 may not be characterized as a breach of any other section of this Agreement as to avoid the application of the $575,000.00 cap on amounts paid in connection with breaches of Section 3.15 or to preserve the amount otherwise available under such $575,000.00 cap.
Scope Limitation. Notwithstanding any other provision of this Agreement to the contrary, the rights granted to SAP and the Applicable Entities hereunder shall be limited solely to use of the Embedded Licensed Software for connection over the internet, over a distributed network or otherwise of (a) SAP Software with SAP Software or (b) SAP Software with browsers and other human interface software using HTML and XML.
Scope Limitation. The exculpation and indemnity provisions of this Section 7.6 shall in no way limit, diminish, or reduce, and shall not apply to limit, diminish, or reduce, (i) the indemnity or reimbursement obligations of the Partners pursuant to Section 2.8 or the LGS Equity Investors' Agreement or (ii) the liability of any Partner for a breach of this Agreement.
