Sales Agents. The Company may, in its sole discretion and solely in accordance with this Section, utilize sales agents to handle permitted sub-licensing of Licensed Programming to third parties on an arms-length basis based on prevailing market rates (whether or not such third party is an Affiliate of the Company. Unless the Company receives Licensor's prior written consent to use a different procedure: (i) a sales agent may not enter into any outright sales or sales of unlimited runs; (ii) all agreements negotiated on the Company's behalf by any sales agent will be subject to the Company's prior approval, and all contracts will be entered into by the Company directly with the purchaser, which must be an end-user (e.g., a broadcaster, direct-to-home or Private Network operator); (iii) any sales agent will be compensated on a commissions-only basis; and (iv) and any sales agency agreement must be terminable at will by the Company on not more than six (6) months written notice.
Sales Agents. The foregoing rights and licenses may be exercised by Sales Agents, provided that Reselling Party will be fully responsible and liable for the actions, errors and omissions of such Sales Agents. Such Sales Agents will execute an agreement containing license terms consistent with this Reseller Agreement.
Sales Agents. Set forth on Schedule 2.28 is a list for fiscal ------------ ------------- year 1996 and fiscal year 1997 of all of Seller's sales agents together with their gross sales of Seller's products by product for each such fiscal year.
Sales Agents. The parties to this transaction, by their execution hereof, hereby acknowledge that the sales agents have acted and are acting as agents of the Vendor, will be compensated by the Vendor, and are responsible for protecting only the interests of the Vendor.
Sales Agents. Schedule 5.23(a) sets forth a list of the Company’s and its Subsidiaries’ top one hundred (100) sales agents on a no names basis (determined by the amount of total sales) for the twelve month period ending December 26, 2014 (the “Major Sales Agents”) and, to the extent readily available, the hire date of each of the Major Sales Agents. Except as set forth on Schedule 5.23(b), to the Knowledge of the Company, none of the Major Sales Agents has threatened, and there has not been, any termination, material change in, cancellation or material limitation of, its employment relationship with the Company or any of its Subsidiaries.
Sales Agents. Contractor may permit Sales Agents to sell Services that are on the Contractor Pricelist on behalf of the Contractor to Authorized Users. Contractor may permit Sales Agents to communicate with Authorized Users. Contractor must directly receive all orders and payments from Authorized Users. Contractor must directly send all invoices to Authorized Users. Contractors must not authorize Sales Agents to accept orders, send invoices, or receive payment from Authorized Users, or do any combination of the three.
Sales Agents. The MEP and/or Agency for Privatization shall engage consultants such as financial advisers and investment banks, or other qualified agents (the sales agents) to assist the MEP and/or Agency for Privatization to prepare the enterprises on the List for privatization, and to privatize such enterprises, which shall include conducting the tenders for such enterprise on behalf of the Agency for Privatization. The sales agents shall be selected in accordance with the procurement rules set forth in Schedule 3 to this Agreement, and shall have appropriate international privatization experience and qualifications. The sales agents’ retainer fees may be financed under the Grant. Their success fees, if any, shall be paid out of sales proceed and shall not be financed under the Grant.
Sales Agents. No sales representative or agent is authorized to bind Seller. Orders placed with a sales representative or agent will not be binding on Seller until confirmed in writing by Seller.
Sales Agents. Any sales agent who engages in the sale of viatical settlement investment contracts must provide the Secretary of State with the following:

Greenland shall, within ten (10) days following the ------------- Effective Date, enter into an commission agreement with Joyce Anson and any other former Xxxxxx xxles agent receiving commissions from Accord as of the Effective Date in connection with the Accord Contracts. Each such commission agreement shall provide for payment by Greenland to each such agent of sales commissions during the Commission Period equal to thirty percent (30%) of an amount equal to Gross Profits less the Accord Commission.
