Review of Proceedings. All actions, proceedings, instruments, and documents required to carry out this Agreement, or any agreement incidental thereto and all other related legal matters shall be subject to the reasonable approval of counsel to Seller and Purchaser shall have furnished such counsel such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.
Review of Proceedings. All actions, proceedings, instruments, and documents required by the Parent and the Merger-Sub to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of X'Xxxxxx & Xxxxxx, counsel to the Parent and the Merger-Sub, and Xxxxxxxxxxxx.xxx shall have furnished such documents as such counsel may have reasonably requested for the purpose of enabling it to pass upon such matters.

All actions, proceedings, instruments, and documents required to carry out each of the Transaction Agreements and each of the documents contemplated thereby or in connection therewith and all other related legal matters shall be subject to the reasonable approval of Xxxxx Xxxxxxxxxxx LLC, counsel to the Purchaser, and Seller shall have furnished such counsel such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.

All actions, proceedings, instruments, and documents required to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of Reitler Xxxxx LLC, counsel to the Purchaser, and Rako and the Stockholders shall have furnished such counsel such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.

All actions, proceedings, instruments, and documents required to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of Xxxxx'x counsel, and LGA and the Shareholders shall have furnished that counsel those documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.

All actions, proceedings, instruments, and documents required by Duck to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of Camhy Xxxxxxxxx & Xxxxx LLP, counsel to Duck, and the Parent and the Merger-Sub shall have furnished such documents as such counsel may have reasonably requested for the purpose of enabling it to pass upon such matters.

All actions, proceedings, instruments, and documents required by Xxxxxx and Distributors to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of counsel to DGD, and Xxxxxx and Distributors shall have furnished such counsel such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.
