Restricted Parties. Xxxxxx Xxxxxxx reserves the right to prohibit Services to any company or individual from a sanctioned or embargoed country, or restrict access or use of Services to any restricted party based on any government list.
Restricted Parties. Each Obligor shall ensure that no Restricted Party which is not an Obligor breaches any negative covenant contained in the Loan Documents.
Restricted Parties. Neither Recipient nor any of its employees, agents, or other parties who receive access to the Data Set hereunder is located in, ordinarily a resident in, or is owned or controlled by entities or persons located in or ordinarily residing in any country that is, at any time that Recipient requests Data Sets from Vivli, subject to sanctions by the United States (U.S.) Government or other applicable government as may be notified by Vivli or are identified on any list of restricted parties maintained by the U.S. government or other applicable government, including, but not limited to, the Specially Designated Nationals List administered by the U.S. Treasury Department’s Office of Foreign Assets Control or the Denied Persons List, Unverified List or Entity List maintained by the U.S. Commerce Department’s Bureau of Industry and Security.
Restricted Parties. It shall cause each Restricted Party which is not an Obligor to perform all positive covenants contained in the Loan Documents applicable to such Restricted Party.

Datasite reserves the right to prohibit Services to any company or individual from a sanctioned or embargoed country or restrict access or use of Services to any restricted party based on any government list. Customer is solely responsible for obtaining any necessary export license or other approval to transfer Content in connection with its use of the Service.
Restricted Parties. No member of the Group, nor any of their respective joint ventures, directors, officers or employees nor, to the knowledge of the Obligors, any Persons acting on any of their behalf (i) is a Restricted Party or (ii) has received notice of or is aware of any claim, action, suit, proceeding or investigation against it with respect to Sanctions by any Sanctions Authority.”
Restricted Parties. Customer represents that neither the Customer nor any of its end users: (i) is a Restricted Party; (ii) is located in, organised under the laws of or ordinarily resident in a Restricted Country; (iii) will directly or indirectly export, re- export or otherwise transfer any goods, technology or Services covered by the Terms and Conditions to Restricted Countries or Restricted Parties; or (iv) will access or otherwise use the Services from or in a Restricted Country.
Restricted Parties. Customer represents and warrants that it is not a "Restricted Party," which shall be deemed to include any person or entity: (a) located in or a national of Iran, Lebanon, Libya, North Korea, Sudan, Syria, or any other countries subject to U.S. or Israeli embargo or trade restrictions; (a “Prohibited Territory”) or (b) on the U.S. Department of Commerce Denied Person’s List, Entity List, or Unverified List; the U.S. Department of the Treasury's list of Specially Designated Nationals and Blocked Persons; or the U.S. Department of State's List of Debarred Parties. Customer shall not distribute, transfer or permit access to any Licensor Software or Documentation to any Restricted Party or any person or entity in a Prohibited Territory without the prior, express written authorization from Licensor and, as appropriate, any relevant government agency.
Restricted Parties. In the performance of its obligations under this Order, Seller will not engage in any transaction with any restricted party appearing on the restricted parties lists of the United States or any other applicable jurisdiction including but not limited to Seller’s use of freight forwarders, financial institutions, customs brokers and Seller Personnel. Restricted Parties. Notwithstanding the foregoing, if the Data User is a Restricted Party, Company shall not grant, or enter any agreement to grant, such Restricted Party any rights in or to the Stakeholder Information without the prior written consent of User. If the Data User is not a Restricted Party, no prior consent is required.
