Reserved Authority. Both Grantee and the City reserve all rights they may have under the Cable Act and any other relevant provisions of federal, State, or local law.

Reserved Authority. Notwithstanding any other provisions of this Agreement, it is understood that the business and affairs of the Company shall be managed by its Board of Directors, and, to the extent delegated by such Board, by its appropriately designated officers. The Board of Directors and officers of Administrator shall not have any management prerogatives with respect to the business affairs and operation of the Company.

The Parties further recognize that several Parties have statutory or legal responsibilities that cannot be delegated, and that no action of the Executive Steering Committee or provision of this Planning Agreement or the DRECP and its Implementing Agreement shall be construed to delegate or abrogate any of those responsibilities.
Reserved Authority. The Bridge Bank must obtain consent and direction from the Receiver before taking any of the actions listed below. The Receiver has the right, in its discretion, to undertake these actions directly:
Reserved Authority. The City may apply changes in City Laws, regulations, ordinances, standards or policies specifically mandated by changes in state or federal law in compliance with Article 12 herein. If City amends its Growth Management Ordinance, the amended Growth Management Ordinance shall apply to the Project upon Owner’s written acceptance, which acceptance shall not constitute an amendment to this Agreement. This provision shall not affect any mitigation measures required of Owner under the environmental document certified for the Project.
