Representations Exclusive. Except for the representations and warranties expressly set forth in this Article III or any certificates furnished by Unidym or an officer of the Unidym pursuant to this Agreement, neither Unidym nor any other Person makes any express or implied representations or warranties on behalf of Unidym.
Representations Exclusive. THE REPRESENTATIONS AND WARRANTIES SET FORTH IN THIS AGREEMENT AND THE RELATED AGREEMENTS CONSTITUTE THE SOLE AND EXCLUSIVE REPRESENTATIONS AND WARRANTIES OF SELLERS TO BUYER IN CONNECTION WITH THE TRANSACTIONS CONTEMPLATED BY THIS AGREEMENT AND BY THE RELATED AGREEMENTS. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT AND IN THE RELATED AGREEMENTS, SELLERS MAKE NO REPRESENTATION OR WARRANTY, EXPRESSED OR IMPLIED, UNDER CONTRACT, AT LAW, OR IN EQUITY, IN RESPECT OF ANY OF THE PROPERTIES, ASSETS, RIGHTS, LICENSES, PERMITS, PRIVILEGES, OR FRANCHISES OF SELLERS, ANY OF THE LIABILITIES, OBLIGATIONS, OPERATIONS, AFFAIRS, OR PROSPECTS OF SELLERS, OR ANY PRESENT OR FUTURE FINANCIAL CONDITION OF SELLERS OR THEIR RESPECTIVE OPERATIONS, INCLUDING, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SELLERS MAKE NO REPRESENTATION OR WARRANTY WITH RESPECT TO MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, SUITABILITY, USAGE, WORKMANSHIP, QUALITY, PHYSICAL CONDITION, OR VALUE, AND ANY AND ALL SUCH OTHER REPRESENTATIONS AND WARRANTIES ARE HEREBY EXPRESSLY DISCLAIMED. EXCEPT FOR THE REPRESENTATIONS AND WARRANTIES OF SELLERS SPECIFICALLY SET FORTH IN THIS AGREEMENT AND IN THE RELATED AGREEMENTS, ALL OF THE PROPERTIES, ASSETS, RIGHTS, LICENSES, PERMITS, PRIVILEGES, FRANCHISES, LIABILITIES, AND OBLIGATIONS OF SELLERS INCLUDED IN THE ACQUIRED ASSETS AND THE ASSUMED LIABILITIES ARE BEING ACQUIRED OR ASSUMED "AS IS, WHERE IS" ON THE CLOSING DATE AND IN THEIR PRESENT CONDITION, WITH ALL FAULTS, AND BUYER SHALL RELY ON ITS OWN EXAMINATION AND INVESTIGATION THEREOF IN MAKING ITS ACQUISITION INVESTMENT DECISION.
Representations Exclusive. The Holder acknowledges and agrees that the Company has made no representation or warranty with respect to the transactions contemplated hereby other than those specifically set forth in Article III above and in the Transaction Documents.
Representations Exclusive. Buyer acknowledges that except as expressly set forth in this Agreement, Sellers have made no representation or warranty as to Alpart, the Business, the Purchased Assets, the Alpart Assets or the Assumed Liabilities. Buyer further acknowledges that this Agreement is subject to any applicable order or act of the Bankruptcy Court.
Representations Exclusive. EXCEPT FOR THE REPRESENTATIONS AND WARRANTIES CONTAINED IN THIS AGREEMENT, INCLUDING THE SCHEDULES HERETO, NEITHER ROXIO NOR ANY OTHER PERSON MAKES OR HAS MADE ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, AND ROXIO HEREBY DISCLAIM ANY SUCH REPRESENTATION OR WARRANTY, WHETHER BY ROXIO OR BY ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES OR ANY OTHER PERSON WITH RESPECT TO THIS AGREEMENT OR THE TRANSACTIONS.
Representations Exclusive. The representations and warranties of USX, Koch and Buyer contained herein are the sxxx and exclusive representations and warranties of each party and USX represents to Buyer, and Buyer represents to USX, that such party has not relied upon any other representation or warranty, whether expressed or implied.
Representations Exclusive. Buyer acknowledges and agrees that the representations and warranties in Article III and IV are Seller’s sole representations and warranties in connection with the transactions contemplated by this Agreement, and that Seller shall not be bound by any other representations or warranties, whether express or implied, written or oral, including without limitation any warranty of MERCHANTIBILITY or FITNESS FOR A PARTICULAR PURPOSE.

Representations Exclusive. The parties acknowledge that the representations set forth in this Article IX are the sole and exclusive representations of the parties. Without limiting the foregoing the parties acknowledge that none of the matters set forth in Article VIII constitutes a representation by any of the parties hereto or any of the Transtar companies. Purchaser confirms that it has not relied upon any information relating to projections, budgets or estimates of future performance or on any oral, written, express or implied representation or warranty not specifically set forth in Article II as an inducement to enter into this Agreement and the transactions contemplated hereby (even though information not represented and warranted to may have been, or may hereafter be, given to or obtained or developed by one or both of the parties hereto pertaining to the Company, the transactions contemplated hereby, or otherwise).
