Reciprocal representation Clause Samples
A reciprocal representation clause requires both parties in an agreement to make similar or identical statements of fact or assurances to each other. In practice, this means that each party confirms certain conditions, such as having the authority to enter into the contract or that they are not subject to legal restrictions, and these confirmations are mutual. The core function of this clause is to ensure fairness and balance by holding both parties to the same standards, thereby reducing the risk of one-sided obligations or misunderstandings.
