Receivable File. 5 For any Contract with the heading “Note and Security Agreement” a Seller signature is not required for all purposes herein.
Receivable File. As of the related Funding Date, (i) with respect to any Contract other than an Electronic Contract, the original related Receivable File, Servicer File and related documentation are maintained by the Servicer on behalf of the Borrower for the benefit of the Secured Parties, (ii) with respect to an Electronic Contract that constitutes Electronic Chattel Paper, the Authoritative Copy of such Electronic Contract is maintained in the Electronic Vault solely for the benefit of the Administrative Agent, as pledgee of the Borrower or the Trust, as applicable, and the original related Receivable File, Servicer File and related documentation are maintained by the Servicer on behalf of the Borrower for the benefit of the Secured Parties, and (iii) with respect to an Electronic Contract that does not constitute Electronic Chattel Paper, the electronically authenticated original record of the executed Contract is maintained in the Electronic Vault solely for the benefit of the Administrative Agent, as pledgee of the Borrower or the Trust, as applicable, and the original related Receivable File, Servicer File and related documentation are maintained by the Servicer on behalf of the Borrower for the benefit of the Secured Parties.
Receivable File. As of the related Funding Date, the Image File Custodian is holding the related Imaged File for the benefit of the Secured Parties, and the original related Receivable File, Servicer File and related documentation are maintained by the Servicer on behalf of the Borrower for the benefit of the Secured Parties.
Receivable File. The Seller (i) has caused the Master Servicer to be in possession of the Receivable File related to each Related Receivable and such Receivable File shall be complete in all material respects as of the related Purchase Date and (ii) has, prior to the related Purchase Date, delivered (or caused to be delivered) to the Verification Agent by electronic means, the documents related to each Related Receivable required to be verified by the Verification Agent prior to each Advance. Each Receivable File shall be in electronic form and there shall be no physical Receivable Files to be delivered.
Receivable File. The Seller does hereby deliver to the Custodian the original motor vehicle retail installment sale contracts and Receivables Files for each Receivable identified in the Receivables Schedule.
Receivable File. The documents listed in Section 9.01 of the Servicing Agreement pertaining to a particular Receivable.
Receivable File. The Collateral Custodian is holding the related Receivable File and all requisite documentation for the benefit of the Secured Parties and the Collateral Custodian has issued a Receivable Receipt to the Administrative Agent prior to the Closing Date, in the case of the Initial Receivables, or the Effective Date, in the case of the Effective Date Receivables.
Receivable File. As of the related Transfer Date, (i) with respect to any Contract other than an Electronic Contract, the Image File Custodian is holding the related Imaged File for the benefit of the Secured Parties and the original related Receivable File, Servicer File and related documentation are maintained by the Servicer on behalf of the Borrower for the benefit of the Secured Parties, (ii) with respect to an Electronic Contract that constituted Electronic Chattel Paper, the Authoritative Copy of such Electronic Contract is maintained in the Electronic Vault solely for the benefit of the Administrative Agent, as pledgee of the Borrower, and the original related Receivable File, Servicer File and related documentation are maintained by the Servicer on behalf of the Borrower for the benefit of the Secured Parties and (iii) with respect to an Electronic Contract that does not constitute Electronic Chattel Paper, the electronically authenticated original record of the executed Contract is maintained in the Electronic Vault solely for the benefit of the Administrative Agent, as pledgee of the Borrower or the Trust, as applicable, and the original related Receivable File, Servicer File and related documentation are maintained by the Servicer on behalf of the Borrower for the benefit of the Secured Parties.”
Receivable File. The following definition is added at the appropriate place in section 1.01 of the Canadian Credit Agreement based on the alphabetical ordering of the definitions in the section:
Receivable File. Originator has delivered to the Servicer the Receivable File for each Qualified Receivable transferred pursuant hereto.
