Purchase Fee. The one-time payment set out in Schedule 1 for perpetual access to the Licensed Materials set forth on the initial Schedule 1 to this License. In the event additional Schedules of Licensed Materials are added to this License an additional Purchase Fee shall be payable by the Licensee as agreed by the parties. For the avoidance of doubt, the Purchase Fee shall be exclusive of any sales, use, value added or similar taxes and the Licensee shall be liable for any such taxes in addition to the Purchase Fee.
Purchase Fee. Buyer agrees to pay a Software Purchase Fee in exchange for the ownership here herein. Such Purchase Fee is included as part of the Fees set forth in exhibit A.

For purposes of calculating the Purchase Fee, PPF shall be determined as follows: PPF = $100,000,000 - APP, provided PPF shall never be less than 0, and where APP is the combined aggregate amount of Purchase Prices paid by Buyer with respect to all Transactions under both Terms Annex 2002-A and Terms Annex 2002-B which have been entered into prior to the Transaction for which the Purchase Fee is being calculated. Provided, however, that the foregoing fee shall not be payable in connection with any repricing pursuant to Section 6 below or any substitution of securities permitted under the Agreement.
Purchase Fee. The Purchase Fee shall be a one-time, up front amount, to be paid by Sellers on the initial Purchase Date, equal to the product of (i) the Maximum Committed Aggregate Purchase Price and (ii) [****] less any Purchase Fee paid under the Bear, Sxxxxxx Funding Repurchase Agreement.

Card funds are not insured by the Canada Deposit Insurance Corporation (CDIC) or the Deposit Insurance Corporation of Ontario (DICO) Lost or stolen Card: You must take all reasonable precautions to protect your Card against loss, theft, or unauthorized use. If your Card has been lost or stolen, or if you have reason to believe that someone has made an unauthorized transaction with your Card or may attempt to use your Card without your permission, you must notify us IMMEDIATELY by calling the customer service number {Please provide CS number here]. All transactions carried out on your Card before you notify us will be considered to have been authorized by you. Split tender transaction: If you do not have enough funds available on your Card to cover the full Transaction Amount, you may request the Merchant to conduct a split tender transaction, which is where you use the Card as partial payment for goods and services and then pay the remainder of the amount with another form of payment (e.g. cash, credit, or debit). If you fail to inform the Merchant that you would like to perform a split-tender transaction prior to swiping your Card, your Card may be declined. Some Merchants may require payment for the remaining balance in cash. Merchants do not have to and may not agree to accept split tender transactions. Key Cardholder Responsibilities under this Agreement: You must take all reasonable steps to protect the Card (and PIN, if applicable) against loss, theft, or unauthorized use. If you lose the Card (or PIN), you must call customer service immediately. You must surrender the Card to us immediately upon request by us. You must ensure that there is a sufficient Balance on the Card to cover the full amount of transactions made with the Card.
