Public Funding. This Project is publicly funded. Any service provider or contractor with which the Recipient contracts must not have any role or relationship with the Recipient, that, in effect, substantially limits the Recipient's ability to exercise its rights, including cancellation rights, under the contract, based on all the facts and circumstances.

Public Funding. This Funded Activity is publicly funded. Reimbursement will be at the State travel amounts that are current as of the date costs are incurred by the Recipient. Unenforceable Provision In the event that any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable, the parties agree that all other provisions of this Agreement have force and effect and shall not be affected thereby.
Public Funding. In addition to the DASNY Grant (which will be used by NMSDC to acquire the NMSDC Parcels in accordance with this Agreement) and Six Million Dollars ($6,000,000) of the ESDC Grant, subject to the CDA Project Manager’s review and approval of specific costs for eligibility and compliance with the DASNY Grant and ESDC Grant, which the City shall cause to be contributed to defray eligible costs including environmental, legal, engineering, economic, feasibility and other studies and preliminary planning and budgetary processing including the Daylighting and Riverwalk (with the balance of the ESDC Grant used for Xxxxxx Plaza daylighting or as determined by Yonkers Downtown Waterfront Development Corporation), the City, the City Entities and the Company agree to in good faith use continuous best efforts to pursue and obtain any and all available federal, State, County and other governmental and public grants and/or subsidies (collectively, "Public Funding") that can be used to defray the costs of the Daylighting, Riverwalk, Ballpark, Old Library redevelopment, Waterfront Public Improvements and the other Public Improvements, the City Office Condominium Unit and Acquisition Costs (such costs collectively, the "Publicly Funded Costs"). For purposes of the foregoing sentence, continuous best efforts shall mean that the parties agree to apply for Public Funding for any one or more of the foregoing permitted uses and purposes if, as and when it is available without regard to priority and whether or not any one or more of the other permitted uses and/or purposes has been funded or is then still unfunded by Public Funding. Notwithstanding any provision of this Agreement, the parties agree that: (i) to the extent that Public Funding is received specifically for one or more of the Publicly Funded Costs, such Public Funding shall be applied against the specific Public Funding Publicly Funded Costs and reduce by the same amounts any liability the party hereto may have for such respective costs, it being the intent of the parties that nothing in this Agreement shall prevent the City and City Entities from at any time applying for and receiving public funding for other purposes and uses. Public Funding. Buyer’s obligations under this Agreement are expressly contingent on Buyer obtaining from the State of Maine or federal government grants to support the Purchase Price, and upon the Falmouth Town Council voting to appropriate the any portion of the Purchase Price not secured by grants (the “Public Funding Contingencies”). If such financing is unavailable to Buyer, Buyer may terminate this Agreement by giving Seller written notice of Buyer’s intention to do so. In the event that Buyer shall exercise its, Public Funding Contingencies, the Option Consideration shall be refundable and the parties shall be relieved of all further obligations under this Agreement.

City shall seek the approvals necessary to authorize the issuance of the Bonds and to secure the pledge of funds required to generate the Public Funding and pay the principal and interest pursuant to the Bonds from the City of Fort Xxxxx Redevelopment Authority, the City of Fort Xxxxx Redevelopment Commission, the City of Fort Xxxxx Common Council, the Xxxxx County Fort Xxxxx Capital Improvement Board of Managers, the Xxxxx County Board of Commissioners, the Xxxxx County Council and all other required boards or commissions. Developer agrees to provide support and assistance in the City’s efforts to obtain such approvals.
Public Funding. Other than the funding set forth in this Agreement, the Bond Transaction Documents, the EZ Development Agreement and the other EZ Bond Documents, Owner shall not seek or solicit or accept any proposal of, or enter into any plan or agreement, with any other county, local government, development authority or quasi-governmental authority of the State of Georgia, other than Invest Atlanta regarding any economic development incentives relating to the financing of the Project or the redevelopment thereof unless the recipient of the incentive(s) benefit is a Major Economic Development Opportunity. If Owner desires an economic development incentive that is offered by Invest Atlanta other than those set forth in this Agreement, Owner shall submit an application therefor to Invest Atlanta if such incentive is available. If the desired economic development incentive is not offered by Invest Atlanta, or if the desired economic development incentive is offered by Invest Atlanta but Invest Atlanta denies the request, Owner shall be free to seek such economic development incentive from another entity as long as such incentive does not result in the reduction of ad valorem real property taxes on the Project.

The District has the right to terminate this Agreement should the Recipient be in material breach of its terms. Upon receipt of a notice of intent to terminate this Agreement from the District, the Recipient shall promptly return to the District any previously disbursed funds that Recipient has not yet expended or committed for expenditure in conjunction with the Funded Activity. B-38. Unenforceable Provision In the event that any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable, the parties agree that all other provisions of this Agreement have force and effect and shall not be affected thereby. B-39. Required Repayment of SCW Program Contributions and Material Violations The District may demand repayment of all or any portion of the SCW Program Contribution along with interest at the California general obligation bond interest rate at the time of the notification of termination, as directed by the District and take any other action that it deems necessary to protect its interests for the following conditions:
Public Funding. (i) (a) No government funding, facilities or resources of a university, college, other educational institution, research center or Governmental Entity or funding from third Persons (other than private investors in the ordinary course of business) was used in the development of the Company Intellectual Property and (b) no Governmental Entity, university, college, other educational institution or research center has any claim or right in or to the Company Intellectual Property.
