Proprietary Property. All modeling algorithms, tools, computer programs, know-how, methodologies, processes, technologies, ideas, concepts, skills, routines, subroutines, operating instructions and other materials and aides used in performing the duties set forth in Section 2.02 that relate to advice regarding current and potential Assets, and all modifications, enhancements and derivative works of the foregoing.
Proprietary Property. (a) The parties hereto hereby agree that Proprietary Property (as hereinafter defined) shall be the sole and exclusive property of the Company, except as provided below. For purposes hereof, the term "
Proprietary Property regardless of the author, shall remain the sole property of the Company and shall be accounted for and returned by the Partner to the Company on demand. It is expressly understood that the Partner’s license to the use or possession of Proprietary Property is to fulfil its obligations to the Company under this Agreement and that the Partner has no other right or proprietary interest in the Proprietary Property other than the license provided in this clause.
Proprietary Property. 6.1 Smart MLS retains title to the compilation of Participant Data including without limitation all RETS Data, and further including, without limitation, all copies and audiovisual and computer graphic aspects thereof and all rights to patents, copyrights, trademarks, trade secrets and other intellectual property rights inherent therein and appurtenant thereto (the “Proprietary Property”). No Consultant shall by virtue of this Agreement or otherwise, acquire any proprietary rights whatsoever in the Proprietary Property, all of which shall be the sole and exclusive property of Smart MLS. Any right not expressly granted to Firm or a Consultant by this Agreement is hereby expressly reserved by Smart MLS and shall be deemed to be part of its Proprietary Property.
Proprietary Property. 12.3.1 Each party agrees that the other party's proprietary property shall not be possessed, used or disclosed otherwise than may be necessary for the performance of this Agreement. Each party acknowledges that its violation of this Agreement would cause the other party irreparable harm, and may (without limiting the other party's remedies for such breach) be enjoined at the instance of the other party. Each party agrees that upon termination of this Agreement for any reason, absent the prior written consent of the other party, it shall have no right to and shall cease all use of the other party's proprietary property, and shall return all such proprietary property of the other party in its possession to the other party.

Employee acknowledges that in the course of his employment with Employer, Employer will provide Employee with, or access to, customer lists, memoranda, files, records, trade secrets and such other proprietary information and property (collectively, the "Proprietary Property") as is necessary or desirable to assist Employee in his duties. Employee acknowledges that the Proprietary Property is the sole and exclusive property of Employer and is not available to the public at large. Employee agrees that he shall not, while in the employ of Employer or thereafter, communicate or divulge to, or use for the benefit of himself or any other person, firm or corporation, without the prior written consent of Employer, any information relating to the Proprietary Property. Upon termination of Employee's employment with Employer, Employee shall thereupon return all Proprietary Property in his possession or control to Employer.

Proprietary Property. 14.1 Subject to terms and conditions of this Agreement, Pure Market hereby grants to the Introducer, for the duration of this Agreement, a non-exclusive and revocable license to use Proprietary Property.
Proprietary Property. With respect to Proprietary Property made or -------------------- conceived by the Employee in the field of data communications, whether or not during the hours of his employment or with the use of the Company's facilities, materials or personnel, either individually or jointly with others during the period of his employment by the Company, the Employee shall, without the payment of royalty or any other considerations to him therefor:

Employee acknowledges that in the course of his employment with the Corporation, the Corporation will provide Employee with, or access to, memoranda, files, records, trade secrets and other proprietary information and property of the Corporation, including information regarding the Corporation and operations, market structures, processes, data, programs, inventions, techniques, marketing plans, strategies, forecasts, new products, systems, financial information, budgets, projections, licenses, prices, costs, and customer supplier lists (collectively the "Proprietary Property") as is necessary or desirable to assist Employee in the performance of his employment duties hereunder. Employee acknowledges that the Proprietary Property, and all information and intellectual property and other data developed by Employee in connection with his employment duties, including any inventions, patents, trademarks, copyrights, ideas, creations, and properties (also hereafter included in the term "Proprietary Property"), is the sole and exclusive property of the Corporation, to the extent not available to the public at large. Employee shall have no right, title or interest of any kind or nature in the Proprietary Property or any proceeds thereof. Employee covenants and agrees that he shall not, directly or indirectly, during the term of this Agreement or thereafter, communicate or divulge to, or use for the benefit of himself or any other person or entity without the prior written consent of its owner, any Proprietary Property or any information in any way relating to the Proprietary Property. The Proprietary Property shall remain the sole and exclusive property of the Corporation, as the case may be, and upon termination of this Agreement, Employee shall immediately thereupon return all Proprietary Property in his possession or control to the Corporation.
