Property Owner. The responsibilities of the property owner or applicant in developing a CCAA are: • Develop, in coordination with the Service, a CCAA that meets the requirements of the Act and the CCAA Policy. • Coordinate preparation and submission of permit application documents with Field Office. • Submit a signed and completed permit application form (form 3-200.54) and the application fee (if required) to the Service Field Office. • Implement all conservation measures and adhere to all permit conditions as required by the CCAA and its associated enhancement of survival permit, respectively. • Submit all documentation, such as monitoring reports, as specified in the CCAA. • Provide any required notifications that may be required by the CCAA and/or permit. • Allow access to Service personnel as specified in the CCAA and/or permit.
Property Owner. The statements contained in the third, fourth, fifth and sixth Recitals to this Agreement are incorporated in this Section 8.3(r) as representations and warranties of Seller. AFE owns its interests in PXR free and clear of all liens, encumbrances, liabilities, claims, covenants and restrictions of any kind or character, including but not limited to, any security interests or, any restriction on sale or assignment or granting of any option, right or agreement for the purchase or acquisition of the same or any interest in the same and AFE has not transferred, assigned, sold, conveyed, pledged, mortgaged, granted a security interest in, or otherwise disposed of any of such interests or any portion thereof or interest therein or granted any option to any person or entity to acquire any of such interests. PXR owns its interests in PXURA and PXLA free and clear of all liens, encumbrances, liabilities, claims, covenants and restrictions of any kind or character, including but not limited to, any security interests or, any restriction on sale or assignment or granting of any option, right or agreement for the purchase or acquisition of the same or any interest in the same, and PXR has not transferred, assigned, sold, conveyed, pledged, mortgaged, granted a security interest in, or otherwise disposed of any of such interest or any portion thereof or interest therein or granted any option to any person or entity to acquire any of such interest. Each of AFE, PXR, PXURA and PXLA is validly existing and in good standing under the laws of the State of New Jersey. The provisions of this Section 8.3 are subject to the limitations on liability set forth in Section 8.5 of this Agreement.
Property Owner. Lender shall have received (a) a copy, certified to Lender as of the date hereof by the Managing Member of Property Owner, of the Certificate of Formation of Property Owner, dated as of July 22, 1997, and filed with the Delaware Secretary of State, (b) a copy, certified to Lender as true and correct as of the date hereof by the Managing Member of the Property Owner, of the Operating Agreement of the Property Owner, dated as of July 22, 1997, and (c) a Certificate of Good Standing for the Property Owner issued by the Delaware Secretary of State, and (d) resolutions of the Members of the Property Owner authorizing the execution and delivery of this Agreement and the other Financing Documents to which the Property Owner is a party and designating by name the individuals who are authorized to sign this Agreement and such other Financing Documents for and on behalf of the Property Owner and to make the borrowings hereunder.
Property Owner. Property Owner is a limited liability company duly organized and in good standing under the laws of the State of Delaware and is qualified to do business in all states where the Property Owner conducts business. The Property Owner has the full power and authority to execute, deliver and perform this Agreement and the other Financing Documents to which it is a party. Neither such execution, delivery and performance, nor compliance by Property Owner with the provisions of this Agreement and of the other Financing Documents to which the Property Owner is a party will conflict with or result in a breach or violation of the Property Owner's Articles of Organization, Operating Agreement or any judgment, order, regulation, ruling or law to which Property Owner is subject or any contract or agreement to which Property Owner is a party or to which any of Property Owner's assets and properties is subject, or constitute a default thereunder. The execution, delivery and performance of this Agreement and all other Financing Documents to which the Property Owner is a party have been duly authorized and approved by all necessary action by the Property Owner and constitute the legal, valid and binding obligations of the Property Owner enforceable in accordance with their terms except as enforceability may be limited by bankruptcy, insolvency or similar laws affecting the enforcement of creditors' rights generally.
