Project Cooperation. The parties recognize that the construction to take place under this Agreement involves unique and special circumstances which dictate the need for the parties to develop specific procedures to promote high quality, rapid and uninterrupted construction methods and practices. The smooth operation and successful and timely completion of the work is vitally important to the parents and the students of the District. Any Contractor tasks or deliverables which are contingent upon receiving information, resources, assistance, or cooperation in any way from another entity (other than subcontractors) as described in this SOW shall be subject to the following guidelines:
a. At the first indication of non-cooperation, Contractor shall provide written notice to ODOT Contract Administrator for the WOC of the specific acts or inaction indicating non-cooperation and of any deliverables that may be delayed due to such lack of cooperation by other entities referenced in the SOW.
b. ODOT Contract Administrator for the WOC shall contact the non-cooperative entity/s to discuss the matter and attempt to correct the problem and expedite items determined to be delaying Contractor/project. If Contractor has followed the notification process described in section “a”, and delinquency or delay of any deliverable is found to be a result of the failure of other referenced entities to provide information, resources, assistance, or cooperation, as described in the SOW, Contractor will not be found in breach or default with respect to delinquencies beyond any reasonable control of Contractor; nor shall Contractor be assessed or liable for any damages arising as a result of such delinquencies. Project Cooperation. The Diversion Authority and BRRWD will cooperate and work in Good Faith to implement the ▇▇▇▇▇▇▇▇▇ Project, which is further described in Section 15.02 of this Settlement Agreement. The Diversion Authority and BRRWD recognize and acknowledge that the ▇▇▇▇▇▇▇▇▇ Project must be designed, permitted, and constructed and that cooperation between the Diversion Authority and BRRWD is essential to completing the ▇▇▇▇▇▇▇▇▇ Project.
Project Cooperation. (a) The Consultant shall actively source, identify, and evaluate potential investment and merger & acquisition opportunities that align with Party A’s strategic objectives and specific criteria as provided in writing by Party A.
(b) For opportunities deemed suitable by Party A, the Consultant shall act as a facilitator to initiate contact and secure at least one (1) introductory meeting between Party A and the counterparty’s decision-makers.
(c) The Consultant shall provide continuous support throughout the negotiation process. The Consultant’s primary objective in this phase is to facilitate and assist Party A in reaching a definitive agreement (such as an Investment Agreement, M&A Agreement, or Joint Venture Agreement) with the counterparty.
