Programming and Operations Standards. Licensee may preempt any program that Licensee reasonably believes to be unsuitable or contrary to the public interest. Licensee will give Programmer reasonable notice of its intention to preempt any program, and, in the event of suspension or cancellation, Programmer will receive a pro rata reduction in the Monthly Fee for the period of time so preempted, calculated to the nearest minute.

Programming and Operations Standards. Broker agrees to abide by the standards set forth in ATTACHMENT II hereto in its programming and operations. Broker further agrees that if, in the sole judgment of Licensee, or the Station's General Manager, Broker does not comply with said standards, Licensee may suspend or cancel any program not in compliance.
Programming and Operations Standards. Programmer recognizes that the Licensee has full authority and a duty to control the operation of the Station. The parties agree that Licensee's authority includes, but it is not limited to, the right to reject or refuse such portions of Programmer's programming which Licensee reasonably believes to be contrary to the public interest. Licensee shall have no obligation to Programmer for the exercise of its rights under this paragraph. Whenever on the Station's premises, Programmer and its employees and agents shall be subject to the supervision and direction of Licensee's General Manager and/or designated personnel.
Programming and Operations Standards. All programs supplied by the Programmer shall be in good taste and shall meet in all material respects all requirements of the Communications Act of 1934 and all applicable rules, regulations and policies of the FCC and the policies of the Station described in Schedule 7. All advertising spots and promotional material or announcements shall comply with all applicable federal, state and local regulations and such Station policies. If, in the reasonable judgment of Owner or the Owner’s designee, any portion of the Programming presented by the Programmer does not meet such standards, Owner may reject, suspend or cancel any such portion of the Programming as without reduction or offset in any payment due Owner hereunder.
Programming and Operations Standards. Broker understands that broadcast program content must comply with certain proscriptions including but not limited to those governing the broadcast of obscenity and indecency; presentation of contests; lottery information; credit terms; broadcast of telephone conversations; and political equal access and covenants that any such programming supplied by Broker will be in full compliance with such restrictions. In addition, Broker will immediately notify Licensee of any violation of any such restriction that takes place and agrees to hold Licensee harmless for any damages, fines or other liability or loss that might result from any such broadcast program. Broker further agrees to cooperate fully with Licensee in the compliance with the Commission's applicable rules and regulations that govern sale and placement of political advertising.

Broker shall consult with Licensee in advance of providing programming, and Licensee shall make its personnel available to consult with Broker, in the event Broker shall be in doubt as to whether particular programming proposed by Broker is consistent with paragraph 4. Licensee shall attempt to consult with Broker in advance of preemption where circumstances permit.

Programmer further agrees that, if in the sole judgment of Company or its Station general manager, as conveyed to either Broker or Programmer, Programmer does not comply with said standards, Company may suspend or cancel any program not in compliance by exercising its rights under the LMA to suspend or cancel programs provided by Broker. If Company notifies Broker that it is suspending or canceling any of Programmer’s Programs, Broker shall give notice thereof to Programmer on the date such notice is received by Broker if Broker does not know with certainty that Programmer is already aware of such suspension or cancellation of such Programs.
