Program License. Rigel and Pfizer each grants to the other a nonexclusive, worldwide, royalty-free license during the Research Period, including the right to grant sublicenses to Affiliates, to make and use Confidential Information, Program Technology and Product Patent Rights for the purpose of performing the Research Program; provided, however, that the other Party shall not acquire, by virtue of this Section or any other Section, any rights in the following:
Program License. Subject to this Agreement, we hereby grant you a non-exclusive, non-transferable license (without the right to sublicense) to access and use the Company Properties for your use to access the Program(s). You agree that you obtain no rights other than the rights and licenses expressly granted in this Agreement. Company reserves the right to change, upgrade or discontinue the Program, any Company Property, and any feature of the Program or the Company Properties, at any time, with or without notice. All rights not expressly granted under this Agreement are reserved by Company or its licensors.
Program License. Sankyo hereby grants to GelTex a non-exclusive, irrevocable (during the Term), royalty-free, right, license and sublicense under the GelTex Patent Rights, GelTex Technology, Sankyo Patent Rights and Sankyo Technology solely to the extent required to permit GelTex to perform its duties under this Agreement. Sankyo also hereby agrees to grant to GelTex a non-exclusive, irrevocable (during the Term), royalty-free, right, license and sublicense under any other Technology or Patent Rights as to which Sankyo elects to obtain a license pursuant to Section 3.1.1 above solely to the extent required to permit GelTex to perform its duties under this Agreement. GelTex shall have the right to sublicense its rights under this Section 3.3.1 with the prior written permission of Sankyo solely to the extent required to permit GelTex to perform its duties under this Agreement.
Program License a. A Program is an executable IBM-branded computer program and its related material and includes whole and partial copies. Program details are described in a TD available at xxxx://xxx.xxx.xxx/software/sla (for Passport Advantage Programs) or xxxx://xxx.xxx.xxx/support/knowledgecenter (for other IBM Programs), in the Program's system command directory, or as otherwise specified by IBM. IBM software policies (such as backup, temporary use and IBM approved cloud environment) available at xxxx://xxx.xxx.xxx/softwarepolicies apply to Licensee's use of Programs.
Program License. Genomatica hereby grants to WMOG a non-exclusive, non-sublicensable (except to WMOG’s Affiliates), royalty free license to use Genomatica’s Background Technology directly relevant to the Program and Program Technology within the Field and Territory solely for purposes of performing WMOG’s obligations under the Program during the term of this Agreement. WMOG hereby grants to Genomatica a non-exclusive, non-sublicensable, royalty free license to use WMOG’s Background Technology directly relevant to the Program within the Field and Territory solely for purposes of performing Genomatica’s obligations under the Program during the term of this Agreement. WMOG reserves all rights under its Background Technology, subject only to the license granted to Genomatica in this Section 8.1, and Genomatica reserves all rights under its Background Technology and the Program Technology, subject only to the license granted to WMOG in this Section 8.1 and any license granted under a Commercialization Agreement entered into pursuant to Section 8.2. If WMOG grants a sublicense of the license under this Section 8.1 to any of its Affiliates, WMOG shall cause its Affiliates to comply with all obligations of WMOG hereunder, including, without limitation, Sections 7.2 and 15; provided that WMOG shall at all times be fully responsible for the performance of such Affiliate.
Program License. In consideration of all obligations of USi hereunder, SiebelNet hereby grants to USi (and certain USi subsidiaries as approved in writing in advance by SiebelNet) a revocable, non-exclusive, non-transferable license (without the right to grant sublicenses) to use, execute and display the Programs in Object Code format: (a) solely on the Designated Equipment; (b) solely at the Designated Site; (c) solely for the Designated Purpose; and (d) solely during the Term. The foregoing license includes the right to make a reasonable number of copies of the Programs for internal back-up and archival purposes only, provided that all such copies shall bear the original and unmodified copyright, patent and other intellectual property markings as when originally delivered by SiebelNet. It is understood that such unused copies do not need to be on Designated Equipment or at the Designated Site. USi represents and warrants that any and all USi subsidiaries which are granted a license pursuant to this Section shall comply with the terms of such license and the other terms of this Agreement, and that USi shall be liable for the breach by any such subsidiary of the terms of such license or other terms of this Agreement.
Program License. Subject to the terms and conditions of this Agreement, Vendor grants to the School District and its Authorized Users a nonexclusive, fully paid, perpetual, unlimited user license:
