Product Materials. Zeltiq shall provide Distributor the Product Materials that Zeltiq generally provides to other distributors of the Products. All such materials shall be provided in the English language. Upon reasonable request by Distributor, Zeltiq agrees to supply all necessary documentation to enable Distributor to comply with Government regulations in the Territory, including but not limited to safety testing documentation, clinical trial results, hazard and risk analysis documents and copies of Zeltiq’s technical file with respect to the Products.
Product Materials. Vendor will provide to Dealer, at no charge, Product samples, adequate copies of any marketing and technical information, service manuals, detailed Product specifications, end-user warranties and other Product data and materials.
Product Materials. Subject to the terms and conditions of this Agreement, each Party hereby grants to the other Party a fully-paid up, royalty-free license, with the right to grant sublicenses through multiple tiers, to use Product Materials generated and owned by such Party, for the Development, Manufacture (with respect to Apollomics, solely to the extent applicable under Section 7.2) and Commercialization of the Licensed Product in the other Party’s respective territory during the Term of this Agreement.
Product Materials. The Wholesale Servicer will not use, and will not permit any of the Associates to use, any product materials other than those provided by the MONY Parties or approved in writing by the MONY Parties. The then serving principal underwriter will file such materials or will cause such materials to be filed with the SEC and FINRA, and applicable state securities regulatory authorities, as required. For purposes of this Agreement, all references to product materials shall include, without limitation, advertisements (such as material published, or designed for use in, a newspaper, magazine or other periodical, radio, television, telephone or tape recording, videotape display, signs or billboards, motion pictures or other public media), product literature (i.e., any written communication distributed or made generally available to customers or the public, including brochures, circulars, research reports, market letters, form letters, seminar texts, reprints or excerpts of any other advertisement, product literature or published article), prospectuses, applications and other forms, and educational or training materials or other communications distributed or made generally available to or approved for use by the Wholesale Servicer. The MONY Parties reserve the right to require at any time for any reason the recall of any material approved by them, and the Wholesale Servicer shall promptly comply with any such request, shall not use such material thereafter and shall forward notice of such request to the Brokers- of-Record.
Product Materials. DISTRIBUTOR shall sell Product in the same containers and with the same labeling and packaging as provided by RSM or otherwise approved by RSM, and in all other respects in the same condition as when delivered to DISTRIBUTOR by RSM. DISTRIBUTOR will not use any promotional materials with respect to Product other than those provided by RSM or approved by RSM under Section 4.4.
Product Materials. III will cooperate with TWCE in the development and production of promotional or instructional literature or information relating to the Products. The development, production and use costs for such materials are the responsibility of TWCE.
Product Materials. (a) Santarus will be responsible for the development of all Product Materials related to the use of the Licensed Products in the Field in the Territory and shall own all right, title, and interest in and to any intellectual property in the Product Materials, excluding any Corporate Marks of Shore marked thereon.

Subject to the terms and conditions of this Agreement, each Party hereby grants to the other Party a fully-paid up, royalty-free license, with the right to grant sublicenses under multiple tiers, to use Product Materials generated and owned by such Party, solely to the extent reasonably necessary for the Development, Manufacture (with respect to Terns, solely to the extent applicable under Section 7.2) and Commercialization of the Licensed Compound and Licensed Product in the Field in the other Party’s respective territory during the Term of this Agreement. Notwithstanding the foregoing, no rights shall be granted by either Party to the other Party under this Section 9.1(b) with respect to the Development, Manufacture or Commercialization of any products containing the Licensed Compound together with one or more APIs other than the Licensed Compound.
