Portfolio Reports. On each Reporting Date and on any other date requested by the Administrative Agent in its sole discretion (upon no less than ten (10) Business Days’ notice), the Servicer shall deliver to each Managing Agent and the Administrative Agent, a report (including an electronic file) describing the status of non-performing Transferred Loans, Transferred Loans that have been subject of a Material Modification, watch-listed Transferred Loans and Restructured Loans, in form and substance reasonably satisfactory to the Administrative Agent.
Portfolio Reports. The Seller Representative shall be responsible for submitting a Portfolio Report via the PrimeRevenue System to the Administrative Agent on each Reconciliation Date and on the Termination Date; provided, however, and notwithstanding anything herein to the contrary, if the PrimeRevenue System is not operational or is otherwise offline on any Reconciliation Date or on the Termination Date, then for such Reconciliation Date or Termination Date, as applicable, the Seller Representative may deliver a Portfolio Report to the Administrative Agent in the form of Exhibit A-2, and this Agreement shall be construed and interpreted accordingly, mutatis mutandis.
Portfolio Reports. The Servicer shall prepare and forward to the SLOT Agent (i) on or before each Monthly Reporting Date, a Monthly Report for the month then most recently ended, (ii) during each (A) Level Two Ratings Period and (B) Level Three Ratings Period, unless at any time during any such Level Three Ratings Period, the SLOT Agent shall have requested that Daily Reports be delivered pursuant to the immediately succeeding clause (iii) of this paragraph, on Monday of each week with respect to and as of the end of the immediately preceding calendar week, a Weekly Report, (iii) during each Level Three Ratings Period with respect to which the SLOT Agent shall have requested that Daily Reports be delivered pursuant to this clause (iii) of this paragraph, on each Daily Reporting Date with respect to and as of the preceding Business Day, a Daily Report and (iv) at such times as the SLOT Agent shall request, a listing by Obligor of all Receivables together with an aging of such Receivables. For purposes of this Section 8.5, if at any time, Tenneco Automotive’s long-term debt ratings fall within different categories and as a result thereof more than one Ratings Period then applies, the Ratings Period corresponding to the lower long-term debt rating shall control.
Portfolio Reports. The reports to the Company regarding the Note Portfolio required to be prepared and delivered by the Agent under this Agreement.
Portfolio Reports. If applicable, Borrower shall deliver or cause the Securities Intermediary to deliver to Bank, not later than the fifteenth (15th) business day of each calendar month, a written statement in form acceptable to Bank of the Portfolio Value of the Collateral as of the last business day of the immediately preceding calendar month and a copy of the Account Summary received by Borrower from the Securities Intermediary or its successor (approved in writing by Bank) regarding the status of the securities held in the account described in Exhibit A.
Portfolio Reports. DLL shall provide periodic reports concerning the activities of the Program as mutually agreed upon. All such reports to be in such form and content as mutually agreed to by the parties.
Portfolio Reports. It or the Servicer has the capability to identify each Receivable sold hereunder or included in the Portfolio Reports.
Portfolio Reports. On or before each Determination Date, a loan portfolio report of Student Loan portfolio activity and delinquency statistics for the immediately preceding month, segmented by loan type, loan status, Servicer and school type, including, without limitation, (i) updated principal balances for each Pledged Student Loan, (ii) the then current interest rate and monthly payment amount for each Pledged Student Loan, (iii) the number of days and amount by which any payment on a Pledged Student Loan is delinquent and (iv) any other information reasonably required by the Agent or the Custodian; and

Portfolio Reports. The Servicer shall ensure that each Portfolio Report and any other information furnished or to be furnished at any time by or on behalf of the Servicer to the Administrator or the Issuer in connection with the Agreement is or will be accurate in all material respects as of its date or (except as otherwise disclosed to the Administrator at such time) as of the date so furnished, and shall not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they were made, not misleading in any material respect.
