Parent Responsibility. Except as provided in Section 3.04, Parent shall make all determinations with respect to, have ultimate control over the preparation of, and file (i) all Parent Group Federal Consolidated Returns for all taxable periods, (ii) all Consolidated or Combined State Income Tax Returns for any taxable period that includes one or more members of the Parent Group for all Pre-Distribution Periods, (iii) all other Returns with respect to the Acquired Assets for all Pre-Distribution Periods and (iv) all Transfer Tax Returns.

Parent Responsibility. Parent shall prepare and file when due (taking into account any applicable extensions), or shall cause to be prepared and filed, all Joint Returns and all Parent Stand-Alone Tax Returns, including any amendments to such Tax Returns.
Parent Responsibility. (a) Subject to paragraph (b) below, Parent shall make all determinations with respect to, have ultimate control over the preparation of, and file or cause to be filed, as it determines to be mandatory or advisable, all (i) Joint Returns for all taxable periods (except for Tax Returns with respect to Acuity Canada for the Straddle Period, which shall be SpinCo’s responsibility to file), (ii) Parent Separate Returns for all taxable periods, and (iii) SpinCo Separate Returns relating to Income Taxes for periods that end on or prior to the Distribution Date (i.e., excluding Straddle Periods, which shall be SpinCo’s responsibility to file).
Parent Responsibility. (a) Parent has the exclusive obligation and right to prepare and file, or cause to be prepared and filed, (i) Parent Federal Consolidated Income Tax Returns for any Tax Periods ending before, on or after the Distribution Date; (ii) Parent State Combined Income Tax Returns, Parent Foreign Combined Income Tax Returns, and any other Joint Returns that Parent reasonably determines are required to be filed (or that Parent chooses to be filed) by Parent or any member of the Parent Group for Tax Periods ending before, on or after the Distribution Date; (iii) Parent Separate Returns and SpinCo Separate Returns that Parent reasonably determines are required to be filed by the Parties or any of their Affiliates for Tax Periods ending before, on or after the Distribution Date (limited, in the case of SpinCo Separate Returns, to such Tax Returns as are required to be filed (taking into account extensions) on or before the Distribution Date); and (iv) Designated SpinCo Separate Returns.
Parent Responsibility. Parents are urgently requested to make some arrangements for the care of school children in the event of sudden illness which is more of a minor nature. When parents are home, there is no problem. However, when parents are not home, because of working, visiting, shopping, hospitalization, or any other reason, some provisions should be made for the care of their children. Sick or injured children need, want, and should have their parents, if possible. Working parents should be prepared to leave work to care for them at home or have arrangements made for someone else to care for them at home. No school is expected to take care of the sick or injured child all day. Only emergency care can be provided. If you have any questions concerning these regulations, please call the school nurse at the building your child attends. TRANSPORTATION OF SICK STUDENTS Only acutely ill and seriously injured children will be transported whenever necessary. However, it is physically impossible to provide transportation for all children who may need it for minor reasons during the course of the school day. Therefore, it will be necessary for the parents to provide transportation in situations that are not of an emergency nature. It is mandatory that the Student Emergency Card be completed fully and returned immediately. Persons listed on the emergency card should have transportation and provide a photo ID at the office when picking up the child.
Parent Responsibility. Parents can do much in helping their child in school through having a positive attitude regarding education and in providing experiences which will enrich the child’s life. It is at home at an early age that a child forms his/her attitude about learning. A genuine interest in the child’s learning activities is important in attitude development. By being receptive to new ideas, the parent aids the child in learning new things. The parent, as an interest party in education, should welcome the opportunity to visit the school and to confer with teachers. Participation in school parent groups such as PTO can be satisfying to both the parent and the child. Teamwork between the parent and the school is essential to the child’s foremost progress and happiness in school.
Parent Responsibility. Parent and any successor shall be responsible for, and shall indemnify and hold harmless Sub and each member of the Sub Affiliated Group from, Income Taxes, Other Taxes and all reasonable out-of-pocket costs and 34 expenses directly caused by an Event of Loss which is attributable to one or more of the following described events or transactions occurring within two years of the Distribution Date with respect to Parent or any successor: a reorganization, consolidation, merger or acquisition by any person of a fifty percent (50%) or greater interest in Parent as determined under Section 355(d)(4) of the Code, applying the aggregation and attribution rules under subparagraphs (d)(7) and (8) of that Section, which is in any way solicited or approved by the Board of Directors of Parent (other than in connection with a hostile takeover); the sale or disposition of assets of any member of Parent, other than in the ordinary course of business; Parent's ceasing to conduct its digital media business as an active trade or business within the purview of Section 355 of the Code; the issuance, redemption or repurchase of shares of Parent Common Stock by Parent or any successor or any subsidiary of the foregoing; the purchase of Sub Common Stock by Parent or any successor or any subsidiary of the foregoing; the recapitalization or other reclassification of the shares of Parent or any successor; or the complete or partial liquidation of Parent or any successor.

Please do not leave your child here any longer than 15 minutes before or after their class schedule has started or finished. Parent Responsibility. Student parents/guardians are responsible for their student’s safety to and from the bus stop each day. Neither the transportation company nor the school department or Bus Monitor is responsible for students that are not met at the bus stop. Children will not be dropped at their stop without an adult to accompany them home but will be returned to the School. Once a child boards the bus, and only at that time does he or she become the responsibility of ACST School. Such responsibility shall end when the child is delivered to the regular bus stop at the close of the school day. The parent/guardian is responsible for the behavior and safety of the student between the residence and the designated bus stop, while waiting at the bus stop, and at the afternoon drop off. Parent Responsibility. Parents are required to research and choose a child care center that is best suited for the well being of their child(ren) and family needs. Qualifying parents are responsible for following the rules and regulations set forth by the University and the Center to participate in this program;  Participating parents must be enrolled in a degreed program at Penn State University and qualify for the Penn State Child Care Subsidy Program according to the regulations set forth in the application.  If qualifying parents do not follow the rules and regulations set by the University or the Center, the subsidy may be terminated.  Parents are responsible for any co-payment of fees to the Center in accordance to their provider’s regulations.  The parent may not hold the University liable for any harm or injury of the child attending the Center.
